Briefly describe the organization’s mission: The ACLU of Northern California (ACLU NC Union), a California mutual benefit corporation described in Section 501(c)(4), conducts its work primarily through a range of legislative, community action and educations program. Acting on the firm belief that liberty must be protected for everyone if it is to be enjoyed by anyone, the ACLU NC Union works to defend the rights of all.

	Community and Civic Engagement - The ACLU NC UNION maintains a robust program of community and civic engagement to encourage and support regular Californians to participate in activities to defend and advance civil liberties. These programs include trainings, workshops and conferences. The ACLU NC UNION also maintains and supports a network of local chapters throughout Northern California, that are active in community education and advocacy projects.

	Center for Advocacy and Policy - The ACLU NC UNION maintains an active presence at the California state capitol through the ACLU of California Center for Advocacy and Policy (CAP). This program is conducted in collaboration with the American Civil Liberties Union of Southern California and the American Civil Liberties Union of San Diego & Imperial Counties, Inc. and is run by the ACLU NC Union. The CAP office reviews hundreds of bills each year to ensure that they do not harm civil liberties and civil rights. CAP staff also provide analysis, testimony and expert information to policymakers including legislators and state agency officials. This year, CAP actively supported a number of bills to advance civil liberties and civil rights in key issues, including immigrants rights, bail reform, privacy, educational equity, due process, and a number of other issues.

	CRIMINAL JUSTICE - The ACLU NC UNION maintains a significant focus on the issues of due process and equal protection in every stage of the criminal justice system, from policing, to pretrial detention to prosecutor charging decisions. The ACLU NC UNION led significant programs to educate the public and policy makers on legislation related to transparency of officer misconduct records as well as for bail reform. It also led a project to educate the public about the important role of prosecutors.

The Executive Committee has the authority to act on behalf of the Board of Directors of the ACLU NC Union except for certain actions which are reserved to the Board of Directors in the Bylaws of the ACLU NC Union.
Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents	The ACLU NC Union adopted amended and restated bylaws on September 15, 2018. The changes establish only one class of directors all serving 3-year terms, set the range for minimum and maximum number of directors, provide guidance on the process and criteria for director nomination and election, clarify the limited circumstances in which an officer may serve for one additional year beyond the regular term limit, clarify the voting and majority requirements for different types of actions, and establish indemnification of directors by the corporation.

SCHEDLUE R SUPPLEMENTAL

The American Civil Liberties Union of Northern California (ACLU NC Union) is related to the American Civil Liberties Union Foundation of Northern California (ACLU NC Foundation) and to the American Civil Liberties Union, Inc. (ACLU National). As explained elsewhere in Form 990 and Schedule O, the ACLU NC Foundation is a California public benefit corporation described in Section 501(c)(3) and classified as a public charity. Directors of the ACLU NC Foundation board are appointed by the ACLU NC Union, a California mutual benefit corporation described in Section 501(c)(4). The ACLU NC Union, in turn, is affiliated with ACLU National, a District of Columbia not-for-profit corporation described in Section 501(c)(4). To reduce costs and maximize efficiency, the ACLU NC Union and the ACLU NC Foundation share certain resources pursuant to a negotiated agreement. The agreement requires the ACLU NC Union to reimburse the Foundation's expenses at a rate that is no less than the Union's fair share of such expenses, plus the Foundation's cost of administering such sharing of resources and allocation of expenses, on a monthly basis, for any resources belonging to the ACLU NC Foundation that the ACLU NC Union uses in connection with the conduct of its activities, and the ACLU NC Foundation is permitted to pay no more than fair market value for any resources belonging to the ACLU NC Union that the ACLU NC Foundation uses in connection with the conduct of its activities. All shared resources, including office space, personnel, equipment, overhead, etc., are accounted for, and, as appropriate, paid for under the agreement.
