(13-3739576) ("NY WCR"). An entity that was formed in New York in 1993 operated as a section 501(c)(6) entity. The Board of Directors of NY WCR determined that it was in the best interests of NY WCR and its members to shift its operations to an entity eligible for exemption from federal income taxation under Internal Revenue Code section 501(c)(3). The Board of NY WCR therefore decided to dissolved NY WCR and create WCR to take over the operations of NY WCR in a manner consistent with tax exemption under section 501(c)(3). NY WCR agreed to transfer all of its net assets to WCR and assign any rights it may have to WCR. Please see the attached Plan of Dissolution (Attachment G) for the list and value of each asset as well as the restrictions placed on the use of certain assets. The Memorandum of Understanding between NY WCR and WCR is also attached (Attachment H). |
