Briefly describe the organization’s mission: ASAE'S MISSION IS TO HELP ASSOCIATIONS AND ASSOCIATION PROFESSIONALS TRANSFORM SOCIETY THROUGH THE POWER OF COLLABORATION. WE ACCOMPLISH THIS BY FOSTERING A LEARNING COMMUNITY OF ASSOCIATION PROFESSIONALS, INDUSTRY PARTNERS, OUTSIDE THOUGHT LEADERS, AND OTHER STAKEHOLDERS WHO EMBRACE THIS VISION. STAFF COMPENSATION POLICY DECISIONS TAKE INTO CONSIDERATION ASAE & THE FOUNDATION'S OVERALL FINANCIAL CONDITION, EQUITY WITHIN THE ORGANIZATION, AND COMPETITIVE SALARY PLANNING. ASAE'S HUMAN RESOURCES DEPARTMENT IS RESPONSIBLE FOR THE ADMINISTRATION OF AND ONGOING INTERNAL REVIEW OF ALL COMPENSATION PLANS AND POLICIES. THIS COMPENSATION REVIEW HELPS ASAE & THE FOUNDATION MAINTAIN AND ADMINISTER A COMPENSATION PLAN THAT ACCURATELY AND FAIRLY REFLECTS EACH INDIVIDUAL'S RESPONSIBILITIES AND PERFORMANCE. ASAE & THE FOUNDATION'S STAFF SALARY ADMINISTRATION PROGRAM(S) CONSIST OF THE FOLLOWING: -- JOB EVALUATION - THIS IS A SYSTEMATIC METHOD OF DETERMINING THE VALUE OF EACH JOB WITHIN THE ASSOCIATION, INCLUDING REVIEW OF SKILLS, EDUCATIONAL PREREQUISITES AND CONTRIBUTION TO THE ORGANIZATION. -- SALARY STRUCTURE - POSITIONS ARE EVALUATED AND POSITIONS WITH SIMILAR VALUES ARE PLACED IN A SALARY GRADE THAT IS REVIEWED IN TERMS OF ITS COMPETITIVENESS WITHIN THE MARKET AND OUR ORGANIZATIONAL NEEDS. EACH GRADE HAS A MINIMUM, WHICH IS THE LOWEST RECOMMENDED SALARY TO BE OFFERED TO AN INDIVIDUAL WHO MEETS THE MINIMUM QUALIFICATIONS OF THE POSITION; A MIDPOINT, REPRESENTING THE SALARY AT WHICH A FULLY QUALIFIED AND EXPERIENCED STAFF MEMBER WHO SATISFACTORILY PERFORMS ALL THE SPECIFICATIONS OF A POSITION IS PAID WITHIN THE MARKETPLACE; AND A MAXIMUM, WHICH IS THE UPPER LIMIT OF THE SALARY RANGE. A THIRD PARTY IS ENGAGED PERIODICALLY TO REVIEW THE COMPENSATION PACKAGE OF THE EXECUTIVE STAFF AND/OR FULL STAFF RELATIVE TO BASE COMPENSATION, BONUS AND INCENTIVE PROGRAMS COMPARATIVE TO MARKET. -- SALARY BUDGET AND GUIDELINES - ASAE & THE FOUNDATION'S ANNUAL SALARY BUDGET IS DEVELOPED ANNUALLY IN ORDER TO ALLOCATE MONIES NEEDED TO MAINTAIN STAFF MEMBER SALARIES AT COMPETITIVE LEVELS, SUBJECT TO BUDGETARY LIMITATIONS. AN ANNUAL MERIT POOL IS DEVELOPED AND APPROVED AS PART OF THE BUDGET CYCLE. THE BUSINESS PURPOSE OF THE PARTNERSHIP WAS THE ACQUISITION, MANAGEMENT, AND SALE OF REAL ESTATE. THE PARTNERSHIP OWNED AND OPERATED ASAE'S OFFICE BUILDING AND THE RELATED PARKING FACILITY WHICH IS LOCATED IN WASHINGTON, DC. ASAE HELD A MAJORITY OWNERSHIP INTEREST OF 55.50% IN THE PARTNERSHIP. THE PARTNERSHIP SOLD ITS REAL ESTATE ASSETS IN NOVEMBER 2015. AS A RESULT, THE PARTNERSHIP WAS DISSOLVED DURING THE YEAR ENDED AUGUST 31, 2016, AND THE PARTNERSHIP'S RESIDUAL ASSETS WERE TRANSFERRED TO A TERMINATING TRUST (THE TRUST) THAT WILL REMAIN IN OPERATION UNTIL ALL OUTSTANDING OBLIGATIONS OF THE PARTNERSHIP HAVE BEEN SATISFIED. THE TRUST HAS DISTRIBUTED CASH TO THE FORMER PARTNERS TOTALING $34,936 AND $22,381, DURING THE YEARS ENDED AUGUST 31, 2019 AND 2018, RESPECTIVELY. THE SALES PRICE FOR THE LAND AND BUILDING TOTALED $107,900,000. IN CONJUNCTION WITH THE SALE, THE PARTNERSHIP SETTLED ITS NOTE PAYABLE OBLIGATION IN FULL USING PROCEEDS FROM THE SALE. IN ACCORDANCE WITH THE PARTNERSHIP AGREEMENT, THE REMAINING NET PROCEEDS FROM THE SALE WERE ALLOCATED BETWEEN ASAE AND THE PARTNERSHIP'S OTHER PARTNER. THEREFORE, ASAE'S NET GAIN ON THE SALE OF REAL ESTATE TOTALED $33,195,107. THE SALE OF THE BUILDING AND THE RELATED OPERATING LEASE SIGNED BY ASAE, WAS CLASSIFIED AS A SALE LEASEBACK TRANSACTION. AS REQUIRED BY U.S. GAAP, THE AMOUNT OF THE NET GAIN ON THE SALE OF REAL ESTATE IN EXCESS OF THE PRESENT VALUE OF THE FUTURE MINIMUM LEASE PAYMENTS TOTALING $16,684,326 WAS RECOGNIZED AS A GAIN ON SALE OF REAL ESTATE DURING THE YEAR ENDED AUGUST 31, 2016. THE REMAINING PORTION OF THE GAIN ON SALE OF REAL ESTATE TOTALING $16,510,781 WAS DEFERRED AND IS BEING AMORTIZED OVER THE REMAINING LEASE TERM. THE REMAINING BALANCE OF THE DEFERRED GAIN ON SALE OF REAL ESTATE TOTALED $10,566,900 AND $12,151,935 AS OF AUGUST 31, 2019 AND 2018, RESPECTIVELY. IN ADDITION, AMORTIZATION OF DEFERRED GAIN ON REAL ESTATE TOTALED $1,619,971 AND $1,607,416 DURING THE YEARS ENDED AUGUST 31, 2019 AND 2018, RESPECTIVELY. FOR U.S. INCOME TAX PURPOSES, THE ENTIRE GAIN WAS RECOGNIZED AND SUBJECT TO TAX IN THE YEAR ENDED AUGUST 31, 2016.
