| Part V, Line 1a | The parent corporation and sole top-tier member of AdventHealth University, Inc. (the filing organization) is Adventist Health System Sunbelt Healthcare Corporation (AHSSHC). AHSSHC is a Florida, not-for-profit corporation that is exempt from federal income tax under Internal Revenue Code (IRC) Section 501(c)(3). AHSSHC has established a shared service center to centralize the Accounts Payable (A/P) function for all AHSSHC subsidiary organizations. During 2019, the filing organization transitioned its A/P function to AHSSHC. Accordingly, the number entered on line 1a represents the number reported on Box 3 of Form 1096 as filed by the filing organization for 2019. Subsequent to the transition of the A/P function to the AHSSHC shared service center, the filing organization will not enter any amount on Part V, line 1a. As a result of this transition, the filing organization no longer issues Form 1099 returns, rather, all such returns are filed by and under the name and EIN of AHSSHC as the payor subject to the information reporting requirements of Section 6041. The facts and circumstances support a position that AHSSHC, as a payor on behalf of its subsidiary organizations in a shared service environment, will have sufficient management and oversight in connection with the subsidiary organizations' payments to meet the standard set forth in Treas. Reg. Section 1.6041-1(e). AHSSHC will not merely be making payments at the direction of its subsidiary organizations. Accordingly, AHSSHC is considered the payor subject to the information reporting requirements of Section 6041. |
| Form 990, Part VI, Section A, line 4 | The Bylaws of the filing organization were revised and amended during 2019. A summary of the significant changes from the previous Bylaws is set forth below. 1) A Purposes Article was added to state that the purpose of the filing organization is to promote education, with the power to confer earned academic degrees and certificates and honorary degrees. 2) In the previous Bylaws, the lesser of one-tenth of the members or 25 members was considered to constitute a quorum. The amended Bylaws provide that 40% of the members will be required to constitute a quorum. 3) A qualifying member of the Board of Trustees was revised to state that the appointment of such a member should be based on the individual's professional expertise, community leadership role, and their support of the mission of the filing organization. 4) The process to elect the members of the Board of Trustees was changed from being determined by a plurality of the members of the filing organization to being elected by the Board of Trustees subject to ratification by the membership. Trustees are elected for a term of five years. 5) Required meetings of the Board of Trustees was changed from one annual meeting to three regular meetings in a year. 6) A Vice-Chair was added as an Officer of the filing organization. 7) An Article was added to the Bylaws to provide for Officers of the filing organization to include a President, Provost and Senior Vice-President of Finance. 8) The amended Bylaws provide for four standing committees of the Board of Trustees to include the Governance and Strategic Planning Committee, the Finance and Compensation Committee, the Academic Affairs Committee, and the Student and Spiritual Life Committee. |

Each Interested Person, as defined under the filing organization's Conflict of Interest Policy, shall annually sign a statement which affirms that such person has received a copy of the Conflict of Interest policy, has read and understands the policy, has agreed to comply with the policy, and understands that the filing organization is a charitable organization that must primarily engage in activities which accomplish one or more of its exempt purposes. The filing organization's Conflict of Interest Policy also requires that periodic reviews shall be conducted to ensure that the filing organization operates in a manner consistent with its charitable purposes. |
