Purposes The purposes of the Eclipse Foundation were modified from: Purposes. The technology is a vendor-neutral, open development platform supplying frameworks and exemplary, extensible tools (the "Eclipse Platform"). Eclipse Platform tools are exemplary in that they verify the utility of the Eclipse frameworks, illustrate the appropriate use of those frameworks, and support the development and maintenance of the Eclipse Platform itself; Eclipse Platform tools are extensible in that their functionality is accessible via documented programmatic interfaces. The purpose of Eclipse Foundation Inc., (the "Eclipse Foundation"), is to advance the creation, evolution, promotion and support of the Eclipse Platform and to cultivate both an open source community and an ecosystem of complementary products, capabilities, and services. The Eclipse Foundation is formed exclusively as a non-profit trade association, as set out in section 501(c)(6) of the Internal Revenue Code (the "Code"). To (emphasis added): Purposes: The Eclipse.Org Foundation Inc.(the "Eclipse Foundation") provides vendor-neutral, open development of open source technologies, specifications, platforms, runtimes, frameworks and tools (collectively, the "Eclipse Platform"). The purpose of the Eclipse Foundation is to advance the creation, evolution, promotion and support of the Eclipse Platform and to cultivate both an open source community and an ecosystem of complementary products, capabilities and services. The Eclipse Foundation is formed exclusively as a non-profit trade association, as set out in section 501(c)(6) of the Internal Revenue Code (the "Code"). The intent behind this change is to broaden the mission of the Eclipse Foundation to cover a broader range of community-driven, vendor-neutral, collaborations. Board Composition: Observers Under our bylaws, each Strategic Developer and Strategic consumer member (Strategic Member) is offered a seat on the Board. The Bylaws were modified to clarify that for Strategic Members who are affiliates of one another that they may only have 1 voting director on the Board. Where there are two or more Strategic Members which are affiliates of one another, they may have non-voting observers attend the Board. Affiliated Member Voting Rights Clarified that affiliated member companies only get 1 vote in votes of our membership-at-large. Affiliated member companies can fully participate and vote in activities under the auspices of the Eclipse Foundation such as open source projects. Miscellaneous - Remove the requirement for Solutions Members and higher to release a commercial offering, as this requirement has caused significant confusion over the years. - Add approval of changes to the Eclipse Foundation Specification Process to require a super-majority vote by the Board, thus making it consistent with the Eclipse Development Process. - Remove the requirement for a super-majority of the Board to approve changes to Project Management Committee ("PMC") Leadership Leadership (and thus require only a simple majority of the Board to approve). - Clarify the Eclipse Management Organizations relationship with its legal counsel. - Realign the quarterly reporting requirements to members to enable the EMO to more effectively disseminate information to members. - Clarify and update the role of the Architecture Council. - Delete the Planning Council.
