| Changes to Organizing or Governing Documents | The NWP Board of Directors has determined that, considering its financial circumstances, it will transfer ownership of its Permanent Collection to the Library of Congress and the National Park Service. As part of this transaction, portions of the Permanent Collection will be displayed at Belmont-Paul Women's Equality National Monument BEPA in exhibits documenting the history of the women's rights movement. Other items in the Permanent Collection will be accessible to both researchers and members of the public at the Library of Congress, just a few blocks away from BEPA, and made more widely available through digitization and exhibition. The transaction will ensure that the Permanent Collection will be secure, conserved, and made widely accessible. The NWP has a history of successful collaboration with both proposed transferees. The Library of Congress has been home to numerous historical records of the NWP for decades: in 1941 the NWP gifted fifty-two containers of suffrage campaign materials primarily dating from 1913 to 1920 to the Library and made an additional grant of post-1920 records in 1979. And, since 2016, the NWP and National Park Service have acted in a public-private partnership to educate the public and fulfill the NWP's mission through the operation of BEPA. Any transfer of the Permanent Collection must be first approved by the Superior Court for the District of Columbia, following public notice and hearing, among other things. Specifically, before a transfer of ownership may occur, A the Board of Directors must make a written finding that the NWP has insufficient funds available to maintain the Permanent Collection, and that no other reasonable alternative is available to obtain the funds, B the proposed transfer must be approved by 80 of ballots returned by the membership of the NWP eligible to vote and C the transaction must be approved by the Court in a hearing for which D public notice has been given at least one Friday every two weeks for eight weeks in advance of the hearing in the Washington Post and one other newspaper of general circulation in the Washington, D.C., area. The NWP Board of Directors made written findings on June 18, 2019, that the NWP has insufficient funds available to maintain and preserve the Permanent Collection and that the transfer of the Permanent Collection to the Library of Congress and the National Park Service is reasonable, necessary, and the only alternative available to obtain the funds needed to maintain and preserve the Permanent Collection. In a vote of the membership concluded on August 9, 2019, 100 of 140 members eligible to vote who returned ballots voted in favor of the transfer of the Permanent Collection to the Library of Congress and the National Park Service. Therefore, the requisite approval of the membership for the proposed transfer has been given. The steps remaining to effect this transfer included providing notice of the hearing on NWP's motion on Friday every two weeks for eight weeks in the Washington Post and one other newspaper of general circulation in the Washington, D.C. area. The NWP petitioned the Court to approve the proposed transaction transferring ownership of the Permanent Collection to the Library of Congress and the National Park Service on December 18, 2019 and the Court set the date to March 19, 2020 to review and approve this transfer. The assets were formally accepted by the National Park Service on August 28, 2020 and by the Library of Congress in a September 27, 2020 letter to the NWP President, and subsequently transferred. |
