| Form 990, Part VI, Section A, line 4 | The Organization amended Article 5, Section 1 of the NWSA Bylaws and it states "The officers of the Corporation shall be a President, a Vice President, a secretary/Treasurer, and an Executive Director. The Board of Directors may elect or appoint such other officers, including one or more Assistant Secretaries and one or more Assistant Treasurers, as it shall deem desirable, such officers to have the authority and perform the duties prescribed, from time to time, by the Board of Directors. Any two or more offices may be held by the same person, except the offices of President and Secretary/Treasurer may not be held by the same person." The Organization further amended Article 6 to add a section 4 of the NWSA Bylaws and it states "The Executive Director shall report to the Board of Directors and have general supervisory authority over the day to day operations of the Corporation, subject to the oversight and control of the Board of Directors. The Executive Director shall have such other powers and duties as prescribed from time to time by the Board of Directors." |
