To this end, CTD presents local and national artists which it books directly or in partnership with other promoters like National Shows 2 and Duke Performances. In FY 2020, before the Theatre effectively ceased operations in March 2020 due to COVID-19 restrictions, CTD hosted 61 live performances featuring a wide range of artists and sold 46,866 tickets. |
| Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents | Article II - Purpose - was updated to reflect the Theatre's new mission statement. Article III - MembershipSection 1 has been updated to reflect the amendment to the Theatre's operating agreement with the City of Durham in 2016. Section 2.B has been updated to clarify the respective appointment processes for Board and City/County appointments.Section 2.C has been updated to clarify that trustees appointed by the City Council and County Commission from among their members shall serve as regular, voting members of the Board, but may request an exemption form service on committees of the Board. Section 2.E has been updated to establish a uniform two-thirds majority threshold for removal of trustees. The current Bylaws include a majority threshold and a separate provision for removal for non-attendance, which has never been enforced.Article IV - Officers and Terms of OfficeSection 1 has also been updated to de-couple the Vice Chair position from the Chairmanship of the Development Committee, though it retains the coupling of the Secretary/Board Engagement Chair and Treasurer/Finance Chair positions.Section 2 has been updated to establish a one year, non-renewable term of office for the Chair and Vice Chair positions and a one year, renewable term of office for the Secretary and Treasurer positions. The current Bylaws include a two year, non-renewable term for the Chair and one-year, renewable terms for other positions, which has been a source of confusion and may have diminished interest in officer service.Section 3 has been updated to clarify that the Board Engagement Committee is responsible for facilitating the nomination and election of officers and establish a detailed process to govern officer elections. The current Bylaws do not specify who is responsible for officer elections or what the election process should look like, which has been a source of confusion and conflict on the Board. The section has also been updated to remove a provision allowing nominations for officer positions to be made from the floor at the meeting at which the Board vote occurs (but retains an open nominations process prior to this meeting, instead of requiring a slate).Article V - MeetingsSection 5 has been updated to clarify that Board meeting agendas must be circulated at least one week in advance and that any trustee may request the addition of agenda items and/or raise new items for discussion at meetings.Section 6.D has been updated to clarify that actions taken without a Board meeting only by a unanimous vote, to bring the Bylaws into conformity with N.C. statute.Article VI - Executive CommitteeSection 1 has been updated to add the immediate past Chair of the Board and Chair of the Development Committee as Executive Committee members, and to reduce the number of at-large members by one, for a total number of seven. The current Bylaws include the four officers plus two at-large members on the Executive Committee.Section 2 has been added to clarify that Executive Committee members must be appointed by the full Board, to bring the Bylaws into conformity with N.C. statute.Section 3 imposes additional restrictions on the powers of the Executive Committee, including a restriction on the authorization of unbudgeted expenditures, to bring the Bylaws into conformity with N.C. statute. The current Bylaws prohibit the Executive Committee from authorizing expenditures greater than $50,000 or taking actions that would require a 2/3 majority vote, but impose no restrictions beyond that.Section 4 has been updated to require the Executive Committee to notify the full Board of its meetings, allow Trustees to request the inclusion of agenda items in Executive Committee meetings, and require minutes of Executive Committee meetings to be recorded and distributed to the full Board. The current Bylaws do not include these.Article VII - CommitteesSection 1 has been updated to clarify names and responsibilities of the three Standing Committees, reflecting recent discussions of the Board.Section 3 has been updated to clarify that all committee chairs and members must be appointed by the full Board, to bring the Bylaws into conformity with N.C. statute.Section 4 has been updated to require standing committees to meet at regular intervals, to circulate their meeting schedules once per year, and to submit reports on their meetings.Article IX - President/CEOSection 1 has been updated to clarify that candidates for President/CEO shall meet with the Board prior to receiving a vote. The section also clarifies that the Board may establish written performance expectations and periodically evaluate progress toward these expectations. The current Bylaws do not include these provisions. |
