The Foundation has been removed from involvement in nominating the board of directors, removed from a special class of members, signing of contractual agreements and colection of assets in case of dissolution. The corporation can also make gifts or donations to institutions other than the Foundation. 2) There was a creation in new types of members. Regular Directors are board members age 40 and above. All regular Directors are expected to support the Corporation through active engagement and financial participation of not less than $6,000. Associate Directors are members that are board members age below 40. All regular Directors are expected to support the Corporation through active engagement and financial participation of not less than $2,500. These contributions can be done by contributions, sponsorship or full or partial table purchases at fundraising events. Emeritus Directors are board members who have served as regular Directors for ten or more years and who elect Emeritus Member status by notice to the Executive Committee. Emeritus Directors are expected to support the Corporation through continuing engagement and meaningful financial participation. In addition, the Corporation intends to include as Directors (from any class) who in the aggregate constitute approximately ten percent of the overall Board of Directors who are health care providers or researchers affiliated with the Hospital. 3) A minimum of two regular general meetings of Friends of Prentice shall be convened each year. One such meeting will be the Fall General Meeting, and the second such meeting will be the Spring General Meeting. New Directors may be elected at either general meeting, but the full Board of Directors shall be subject to election and/or ratification at the Fall General Meeting. Special meetings may be called by the President, the Executive Committee, or upon written request of any ten regular and/or associate Directors to the President, the Secretary or the Executive Committee. 4) The following new officer positions were added. The Vice President of Business Operations shall coordinate day to day business activities, including contract oversight, vendor hiring and termination, and integration with the activities of the Treasurer, Secretary and other Vice Presidents. The Vice President of Fundraising shall be responsible for the organization and execution of the Corporation's fundraising events and efforts and integration with the activities of the Treasurer, Secretary and other Vice Presidents. The individual shall prepare and maintain budgets and applicable books and records for the Corporation's fundraising events and efforts and deliver reports of the results and effectiveness of all such fundraising events and efforts to the President and the Executive Committee. The Vice President of Grants shall coordinate activities and programs for the awarding of programmatic grants by the Corporation including the solicitation of grant requests, the organization, review and evaluation of grant proposals, and the making of recommendations to the Executive Committee and full Board of Directors as to grant awards. The individual shall maintain records of the grant process and awards, including stewardship reports with respect thereto. The Vice President of Membership and Nominating shall coordinate activities and programs for the retention of current Directors, recruitment of new Directors and termination of Directors not generally undertaking their obligations to the Corporation and be responsible for nominating new officers of the Corporation. The Vice President of Public Relations and Social Media shall develop, effectuate and/or coordinate activities and programs for the Corporation's public outreach and brand extension/awareness across all media platforms, maintain budgets and analytics for the effectiveness of such efforts and develop, effectuate and/or coordinate activities and programs for fundraising through social media platforms in concert with the Vice President of Fundraising. Committees were added to assist these officers. |
