| GENERAL EXPLANATORY STATEMENT REGARDING THE COVID-19 IMPACT ON | THE ORGANIZATION the College evaluated its June 30, 2020 financial statements for subsequent events through October 26, 2020, the date the financial statements were issued. In December 2019, a novel strain of coronavirus was reported in Wuhan, Hubei province, China. In the first several months of 2020, the virus, SARS-CoV-2, and resulting disease, COVID-19, spread to the United States, including to geographic locations in which the College operates. Beginning in March 2020, certain of the College's locations were closed temporarily, either by order of local governmental authorities, or at the College's discretion. The extent of the impact of COVID-19 on the College's operational and financial performance will depend on future developments, including the duration and spread of the outbreak and related governmental or other regulatory actions. The College received governmental funding to help sustain the institution during the pandemic. The Coronavirus Aid, Relief, and economics security (CARES) act provided budgetary relief to higher education institutions. Congress set aside approximately $14.25 billion of the $30.75 billion allotted to the Education Stabilization Fund through the Higher Education Emergency Relief Fund (HEERF). Each institution received one grant comprised of two parts. Under the legislation, no less than 50% of the full grant was to be used for direct emergency aid to students. The remaining portion of the full grant was to be used by institutions to cover any costs associated with significant changes to the delivery of instruction due to the coronavirus. Institutions were given 1 calendar year from the date of award in their HEERF Grant Award Notification to complete the performance of their HEERF grant. The College received $1,350,544 of HEERF Funding on May 29th, 2020. FORM 990, PART VI, LINE 2 Board Members, David Reist and Pamela A. Reist, have a family relationship. Board Members John D. The Board of Trustees has established an Executive Committee of independent persons that have no personal interest in the proposed compensation agreement. The Executive Committee of the Board of Trustees annually reviews the performance of the President against agreed upon objectives for the year. All other officers are reviewed annually. Finally, the college annually participates in two compensation surveys prepared by independent vendors that benchmark the president's compensation in comparison to peer institutions, in terms of size, geography, and curriculum. To ensure that the College's compensation policies remain consistent with the geography in which it operates, it conducted its most recent compensation study in July of 2019 with the hiring of the new President, Cecilia McCormick. |
