Activities  & Governance 1 Briefly describe the organization’s mission or most significant activities: MaineHealth is a voluntary, not-for-profit community and referral system of hospitals, dedicated to providing high quality health care services to all persons who seek care regardless of their sex, race, religion, age, color, sexual orientation, national origin, physical or emotional disability or social or economic status. MaineHealth is also committed to education at the undergraduate, graduate, post-graduate and continuing education levels for physicians, nurses and allied health personnel, and in-service training for support staff all of which are essential to the delivery of quality patient care. Outreach education to other institutions and agencies is also vital to the fulfillment of the MaineHealth's mission. MaineHealth also supports basic and clinical research as essential to the advancement of health care.

Patient CareMaineHealth operates eight licensed hospital facilities in the State of Maine and is part of a not-for-profit health system dedicated to improving the health of patients and communities by providing high-quality affordable care, educating tomorrow's caregivers, and researching better ways to provide care. MaineHealth System includes a tertiary care hospital, critical access hospitals, primary and specialty practice locations, a stand-alone behavioral health hospital, an accountable care organization, an integrated lab company, and a home healthcare organization. Improved communication and coordination of services among health care providers, patients and their caregivers, and community-based resources play a pivotal role in achieving these outcomes. As MaineHealth continues to focus on providing quality, standard care across all Local Health Systems, the creation of a single, multispecialty medical group for all of MaineHealth's employed providers is underway. Forming this group will enable MaineHealth to better meet the challenges of a fast-changing health care environment, ensuring patient needs are met efficiently and seamlessly. In order to best monitor and benchmark hospital quality and safety measures, MaineHealth implemented Midas DataVision in all MaineHealth hospitals. Implementation of this platform allows care team members to actively monitor all patient quality and safety measures, produce reports, and address concerns in-real-time. Additionally, MaineHealth is working to establish an effective, comprehensive Patient Experience Program to improve overall performance in the care experience. This program includes improved data gathering, analysis, and standardized reporting for ambulatory, ED, inpatient, and telehealth surveys, prompt response and service recovery for patient complaints with appropriate support from the system-level team when needed, a training and coaching program with remote (virtual) trainings during the COVID-19 pandemic; and standardizing existing Patient and Family Advisory Council charters and planning to launch Advisory Councils in hospitals that do not have one.Finally, in FY20, MaineHealth successfully increased childhood trauma screenings to 87.7%, outperforming target percentages, and reduced the number of heart failure admissions by 15.5% and ED Visits by 10.1%. Improve Care Team Well-BeingOur employees are our greatest strength, and care team wellbeing is a priority. We focus on team member engagement, protection from burnout, and work-life balance. In order to increase retention, MaineHealth developed and invested in a set of career paths for gateway positions to retain and recruit care team members. Eight new leadership courses have been added to the curriculum and each have an identified audience for which course completion is expected. In addition, five current courses are being revised to more clearly connect their content and learning to support care team engagement. Through FY20, 667 leaders completed one or more training programs.Additionally, MaineHealth has developed a system-wide physician and advanced practice professional (APP) recruitment infrastructure and retention strategy with a local health system focus. Multiple infrastructure elements were developed and implemented, resulting in 46% and 48% reductions in openings for physicians and APPs respectively.In an effort to address recruitment, the expansion of training programs for certified nursing and phlebotomists have been completed, and an Advanced Medical Assistant training program has been developed with the Maine Community College system. In secondary schools, a program to help students learn how to enter the health care field has been developed, in addition to an advanced training program for those to whom English is a second language. Finally, a partnership with Jobs for Maine Graduates has been established to develop career awareness events for middle school to high school graduates.Improve Population Health To improve the health of our communities, we focused on developing population health programs to decrease health disparities. Our programs addressed the physical, mental, and behavioral, and socioeconomic determinant aspects of health and wellbeing. Our program philosophy promoted involvement, engagement, and autonomy so each individual can achieve the highest quality of life. In 2020, MaineHealth:1. Implemented changes to our hub, intermediate and spoke substance use treatment model to align with evolving clinical care models and updated state funding formulas.2. Implemented CDC's National Diabetes Prevention Program, enrolling 664 participants.3. Addressed at least two strategies in all Local Health System Community Health Needs Assessment Implementation Plans. 4. Conducted a pilot food insecurity screening for adult patients resulting in nearly 5,000 adult patients being screened; and of those, 3% were positive for food insecurity. Approximately 255 emergency food bags were distributed to patients, which is equivalent to more than 1,900 healthy meals. In order to ensure suitable access to care, MaineHealth welcomed Mid Coast-Parkview Health into the health system. Mid Coast-Parkview Health is built around a 93-bed hospital in Brunswick, ME. It has an active medical staff, a multispecialty medical group including primary care and specialty practices, and provides a range of senior care services through Mid Coast Senior Health and home health and hospice care through CHANS Home Health & Hospice. Teams from MaineHealth and Mid Coast-Parkview Health have been working together throughout 2020 to fully integrate, including transitioning Mid Coast-Parkview Health to the Epic medical records platform in 2021. Affordable CareGrowth in the cost of providing care and reductions in payment lead MaineHealth to intensely focus on providing the highest quality care at the lowest possible cost. Through the first five months of the fiscal year, financial results were favorable with income from operations of $31.5 million which exceeded the FY20 budget by $6.7 million. The COVID-19 pandemic resulted in a disruption in MaineHealth's revenue and unfavorably impacted expense structure. To aid in COVID-19 recovery, our care teams established an operating and financial metrics dashboard to monitor recovery efforts.

Teaching (Medical Education Program)MaineHealth's flagship hospital, Maine Medical Center, has a long history of educating medical students, residents, and faculty. The Department of Medical Education, with a staff of 80, manages 11 residencies and 10 fellowships, all approved by the Accreditation Council for Graduate Medical Education. Currently there are approximately 300 residents and fellows. Historically, about one-third of MMC's residency graduates have stayed in Maine to practice. Our graduates also go on to outstanding fellowship programs. (Continued on Schedule O)(Continued from page 2 of 990, Line 4b) Established in 2008, the Tufts University School of Medicine - Maine Medical Center Program, known as the "Maine Track," offers a unique and innovative curriculum, exposing students to rural practices and training in a major tertiary medical center. There are 40 matriculants in each TUSM class dedicated to Maine Track. Much of the curriculum is based in Maine, particularly in the 2nd through 4th years of medical school. MMC developed a unique 9-month Longitudinal Integrated Clerkship offered at MMC and in 10 community hospital sites. Additionally clerkship students from the UNE College of Osteopathic Medicine rotate through MMC annually. The Hannaford Center for Safety, Innovation and Simulation is a state-of-the-art 15,000 square-foot training center that utilizes the latest in human medical simulator technology to take medical education to the highest level possible. The center provides learners and faculty with extremely realistic scenarios, allowing them to gain significant skills while greatly reducing patient risk. MMC is the flagship provider for Continuing Interprofessional Development (CIPD) in Maine, and is now Jointly Accredited through the major national accrediting bodies including medicine, nursing, pharmacy, and others. The goal of the CIPD program is to provide continuing education of the highest quality for all professions within the state. Launched in 2015, the MMC Institute for Teaching Excellence (MITE) provides faculty development opportunities (e.g., Scholars program) for educators. In addition to offering certificate programs, support for medical education research and a wide variety of high-quality educational opportunities, the Institute hosts a varied menu of high-quality faculty development. By promoting academic medicine excellence at all levels of interprofessional education, the Institute and the recently formed MITE Academy seeks to support, nurture and promote all clinician educators in the State of Maine. Significant FY20 accomplishments include: Teaching the 2nd curriculum of the Maine Track years in Maine The first graduate of the Rural Internal Medicine Maine (RIMM) residency track at Stephens Memorial Hospital Second year of the Interprofessional Partnership to Advance Patient Care and Education (iPACE) grant from the American Medical Association Achieving 6-year Joint Accreditation to promote interprofessional and team-based education HRSA grant to explore a rural Psychiatry track at PenBay Medical Center

ResearchMaine Medical Center Research Institute is the research arm of MaineHealth which supports and encourages a broad spectrum of research ranging from basic laboratory-based research to translational and clinical research, to patient-centered outcomes research. The institute is divided into the following divisions: Center for Molecular Medicine, The Center for Clinical and Translational Research, the Center for Psychiatric Research, and the Center for Outcomes Research and Evaluation. (Continued on Schedule O)(Continued from page 2 of 990, Line 4c) In 2020, MMCRI had roughly $21.8M in annual grant income and received 47 new grants, allowing the institute's clinical and biomedical researchers to contribute to the worldwide body of scientific research. In addition, over 230 Clinical Trial studies took place with the top areas of focus in Oncology, Neurology, and COVID-19. Notably in 2020, while MaineHealth care teams were on the frontlines taking care of patients, researchers and physician scientists were participating in COVID-19 research to support new treatments for patients. Because of MaineHealth's investment in research, MMCRI was ready to respond immediately. During this time, there were over 40 studies in a range of research areas such as clinical trials, basic and translational research, epidemiological research, and patient data registries. Additionally in 2020, the MaineHealth Cancer Care Network (MHCCN) was able to expand cancer trial sites across the state and was selected to participate in the NIH-NCI Moonshot BioBank program due to the support from the National Cancer Institute Community Oncology Research Program. Other 2020 highlights included: 309 scientific articles published and over 2,450 biospecimens were distributed by our BioBank Tissue Repository.

Part II, Line 9: In 2002 Spring Harbor Hospital acquired a 54-acre parcel of land designated as a conservation easement which was conveyed as part of a land purchase upon which the hospital was built.
Part III, Line 4: MaineHealth's artwork creates a healing and comfortable environment for our patients and visitors.
Part IV, Line 2b: The organization maintains cash accounts for clients who are incapable of managing their Social Security or SSI payments. The payments are deposited into the account and a Social Secutity Representive Payee manages the account for them.
Part V, Line 4: The endowed funds support the following types of activities: Tufts scholarship program, training and education of nurses, MMC research and education programs, supporting the salary of endowed Chair of Pediatrics and free bed funding.
Part X, Line 2: The Internal Revenue Service has previously determined that the MaineHealth System and its subsidiaries (except Maine Medical Partners (MMP) (a subsidiary of MaineHealth) are organizations as described in Section 501(c)(3) of the Internal Revenue Code (IRC) and are exempt from federal income taxes on related income pursuant to Section 501(a) of the IRC. MMP had significant net operating loss carryovers as of September 30, 2020 and 2019. A valuation allowance has been provided for the entire deferred tax benefit for the net operating losses, due to uncertainty of realization. MMP did not have material taxable income in 2020 and 2019. Accordingly, a provision for income taxes has not been made in accompanying consolidated financial statements. The MaineHealth System recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. Recognized income tax positions are measured at the largest amount of benefit that is greater than fifty percent likely to be realized upon settlement. Changes in measurement are reflected in the period in which the change in judgment occurs. The MaineHealth System did not recognize the effect of any income tax positions in either 2020 or 2019.

Part V, Section B, Line 5: MaineHealth was part of a dynamic public-private partnership that worked collaboratively to develop The Maine Shared CHNA. The Maine Shared CHNA was conducted through a collaborative effort between Central Maine Healthcare, MaineGeneral Health, MaineHealth, Northern Light Health and the Maine Center for Disease Control and Prevention. This unique public-private partnership is intended to assess the health needs of all who call Maine home. The Maine Shared CHNA was published for each Maine county to highlight current community needs for over 200 health indicators. Large community forums were then hosted across the state to obtain community input in identifying and prioritizing leading health issues. Additionally, key informant inverviews and small group discussions were conducted to gather qualitive information about how health issues are impacting vulnerable and underserved populations. MaineHealth used these forums and discussions to create each hospital's CHNA and Implementation Plans for 2019-2021.

Part III, Line 2: The provision for bad debts is based upon a combination of the payor source, the aging of receivables and management's assessment of historical and expected net collections, trends in health insurance coverage, and other collection indicators.Bad debt expense represents healthcare services MaineHealth has provided without compensation. As a tax-exempt organization, MaineHealth provides necessary patient care regardless of the patient's ability to pay for the services. MaineHealth cannot determine the amount of bad debt expense that could be reasonably attributable to patients who likely would qualify for financial assistance under the Hospital's free care policy. In addition, bad debt expense also includes amounts for services provided to individuals experiencing difficult personal or economic circumstances related to a portion of our community based patient population. Their medical bills often place these individuals in untenable positions where they are not able to handle their personal debt and then their new medical debt. However, because of their income level, they do not qualify for free care. By providing necessary healthcare services to those individuals either who fail to apply for financial assistance or who are experiencing difficult personal or economic circumstances, MaineHealth believes that bad debt expense should be included as a community benefit.
Part III, Line 4: MaineHealth does not have a specific footnote in the financial statements that describes bad debt expense. See Part III, Line 2 for bad debt expense methodology.
Part III, Line 8: Medicare allowable costs were calculated using a cost to charge ratio. MaineHealth believes that the Medicare shortfall should be included as a community benefit because MaineHealth has a clear mission commitment to serving elderly patients and adults with disabilities through the provision of specific subsidized programs developed to help improve the health status of these patients. If these critical subsidized programs were not provided by MaineHealth, they would become the obligation of the Federal Government.
Part III, Line 9b: Patients who qualify for free care have their account balance adjusted accordingly once free care has been approved. As a tax-exempt hospital, MaineHealth provides necessary patient care regardless of the patient's ability to pay for the services.

Part VI, Line 5: MaineHealth's day-to-day operations as a tax-exempt organization include many system-wide initiatives in the state of Maine and the Northern New England region. Clinical services range fromoutpatient clinics for a diverse population to full inpatient and surgicalservices to a regional trauma center and a neuroscience institute. Many ofour services and specialties are not available elsewhere in the state or in our region. Part I, Line 2: For the Research Grants to Organizations, these represent subrecipient grants. A subrecipient agreement is signed by both MMC and the subrecipient stating the amount of the award, the award name, the name of the Federal Agency, requirements imposed by laws, regulations and the provisions of the grant agreement. The monthly subrecipient invoices are reviewed and approved by the Principal Investigator prior to payment to verify the Federal funds are used for authorized purposes and are included in the award budget. Other contributions are reviewed by Senior Management and are granted to organizations within our community that promote our shared values. For the Nursing and Healthcare Scholarships, as an application requirement, each scholarship applicant must provide confirmation of enrollment in a Nursing or healthcare related program. For the Medical Education Scholarships for students in the Maine Track of the MMC. TUSM Medical School Program, MMC transfers the scholarship funds to the Tufts School of Medicine (Tufts) financial aid department for distribution to the students. Tufts handles any oversignt to ensure that the funds are used as intended. MMC's role is limited to matching eligible students with scholarship selection criteria and determining who receives each scholarship award.

Part I columns (e) and (f), and all of Parts II and III, have been answered with respect to the MaineHealth entities' share of such pooled financings, not with respect to 100% of the issue. - Part I, column (e), 7/25/2013 issue - The issue price shown on Form 8038 was $17,500,000. However, this issue was structured as a draw-down loan, and the full eligible amount was not drawn. Form 990, Part VI, Section B, line 15 Compensation for Top Official & Officers MaineHealth uses an outside firm, Sullivan Cotter, to perform an independent benchmark analysis for the CEO and other key administrative employees. The firm meets with the Executive Committee of the Board of Directors to review each executive's benchmark report. The Executive Committee then deliberates on MaineHealth Services' written salary and incentive plan philosophy before making a final decision. All decisions and meetings are captured in minutes and there are appropriate approvals at all levels.
