| Form 990, Part VI, Section A, line 1 | The Executive Committee shall be composed of the officers of the Corporation. During intervals between meetings of the Board of Directors, the Executive Committee shall have and exercise all of the authority of the Board of Directors in the management of the Corporation, except where prohibited by law. In addition, the Executive Committee, to the extent specified by the Board of Directors, may exercise the authority of the Board of Directors, except where prohibited by law. The Executive Committee will be responsible for oversight of the Parliamentarian's role as Chief Ethics Officer, and shall evaluate enterprise risks to the Corporation, and recommend actions regarding appropriate management of such risks to the officers and board. The Executive Committee shall also perform such other duties which are in the best interests of the Corporation as determined and directed by the President. The Executive Committee shall exercise oversight over the national office and governance of the Corporation and shall provide an annual report on governance to the Board of Directors. |

The Finance Committee is currently composed of a total of 10 members, the current Treasurer/board member, eight institutional members, and two affiliate members. The Form 990 is posted to the "members only" portion of the organization's website where all the voting members are given access to this portion of the website. The Form 990 is also provided to the board members electronically before it is filed. |
| Form 990, Part VI, Section B, line 12c | The conflict of interest policy covers board members, officers, key employees and members of a committee with governing board delegated powers. They are required to annually complete a disclosure form of Family & Business Relationships amongst officers, board members, and key employees as well as a disclosure form of reportable transactions between organizations and interested parties. The Executive Director, Finance Committee, and Parliamentarian reviews the disclosures by the board members. If there is a conflict of interest, the board member is asked to abstain from voting on a particular matter. The Parliamentarian is expected to make sure all members are in good standing and be the expert on Roberts Rules of Order. In 2020 we decided to add the conflict of interest to each board meeting agenda to remind board members to disclose any new relationships. |
