In 2020, EDC's International Development Division developed: A. Distance Education During COVID-19: As school systems shut down during the pandemic, IAI programs--broadcast by radio--have emerged as a solution that both donors and governments wanted to explore. USAID asked all implementing partners that had created Interactive Audio Instruction (IAI) programs to upload them to a site where USAID could make them widely available to governments, implementing partners and others. IDD spent a good deal of time in May, June and even July going through IDD's extensive catalogue of IAI programs, identifying what programs and program supports (i.e., teacher guides, etc.) are available and digitizing IAI programs that were on CDs and even some on cassette tapes. IDD has located 23 IAI series from 18 countries and has shared them with USAID. Likewise, IDD's toolkit for repurposing IAI programs has been widely distributed and referred by many donor organizations and development professionals. In 2020, EDC has signed agreements with the World Bank, UNICEF, UNESCO, and the InterAmerican Development Bank (IDB) to provide various types of technical assistance all related too interactive audio instruction and distance education more broadly. B. IDD Study of COVID 19 Impact on Beneficiaries: IDD's Monitoring, Evaluation and Learning team surveyed teachers, parents, education officials, and youth across six countries about how the pandemic has affected their health, livelihoods, educational opportunities, and frame of mind and has created a dashboard that shares the results, which can be sorted by country and several variables, such as gender. Selected IDD Project Successes: Honduras Reading Activity-The new Spanish curriculum standards developed by the Honduras Reading Activity (HRA) team in collaboration with the MOE were published in the October 22, 2020 edition of the Gaceta, the Government of Honduras bulletin (like the Federal Register in the US), along with a decree making them official nationwide. The HRA team also successfully adapted its teacher training course on reading and writing instruction in primary grades to a virtual format, accessible via computer, tablet, or cell phone, using the Ministry of Education's on-line learning platform. Over 4,600 teachers successfully completed the course in 2020, with more cohorts planned for 2021. Lebanon Higher Education Capacity Development: The project delivered five high quality, virtual webinars/trainings/e-mentoring sessions, covering a variety of topics, to faculty and administrators from the nine partner HEIs. The first three in the list of offerings below put an emphasis on institutional strengthening and capacity development to help HEI partners sustain what HECD has begun. HECD offerings included: Grant Writing, Data for Decision Making, Women's Equity & empowerment, Work Ready Now orientation and training. Also, of note, in quarter 1 of FY21, 569 students across five universities received the WRN! course. D. New Awards. Egypt Teach for Tomorrow: EDC is implementing the USAID funded project to support improvements in primary-level instruction across the country. Over four years, EDC and its partner Keys to Effective Learning will work with Egypt's Ministry of Education and Technical Education to enhance teacher professional development and strengthen the professional licensing and certification of teachers. Uganda Integrated Child and Youth Development (ICYD): EDC is implementing the USAID Integrated Child and Youth Development activity, a five-year effort to improve education, health, and social protection for 2.9 million children and youth in Uganda. With partners Bantwana Initiative of World Education, Inc., Arizona State University, Redearth Education, School-to-School International (STS), and Resonance, the project will support the Government of Uganda's efforts to better align and deliver social services for young people.

U.S. Division: In the US Division, there is an increased focus on pursuing work in school-based prevention, building on the new Social-Emotional Learning (SEL)/Mental Health Academy that we were awarded for the Commonwealth of Massachusetts. We developed a conceptual model and process for social-emotional learning (SEL) and mental health integration that will be branded by EDC and marketed to states, districts, and schools. EDC was awarded and then launched new projects focused on principal leadership. One project is an expansion of the principal leadership work to new areas of the country. The second project is focused on implementing and managing a new learning community for equity-focused leadership. EDC's First 10 initiative has continued to grow, and multiple communities across four states are implementing First 10. EDC staff submitted proposals for and won the next iteration of a number of large projects. These include the Amgen Biotech Experience project, the NSF STEM Learning and Research Center, and the Ready to Learn project. The breadth of US-based early childhood work expanded with the addition of two new projects, leading national centers for the US Department of Health and Human Services: the National Center on Health, Behavioral Health, and Safety and the National Maternal, Infant, and Early Childhood Home Visiting Technical Resource Center project). To respond to the COVID-19 pandemic, staff quickly identified numerous engaging and helpful resources for teachers and families-free apps, games, and curricula developed by staff-that appear on edc.org's COVID-19 landing page. They also wrote multiple blog posts for edc.org to address a wide range of topics related to COVID-19 including staying calm/self-care, supporting children's well-being and learning, communicating effectively about COVID-19, and providing effective virtual learning. For our Regional Education Laboratory, Northeast and Islands project, EDC staff hosted a listening session with the Governing Board that included commissioners, district leaders, and other representatives from educational agencies, and quickly created a number of FAQ documents that have been published by the Institute of Education Sciences and address leaders' most pressing issues during COVID-19. Within three days of learning the Governor of Rhode Island had closed public schools and child care centers due to COVID-19, EDC's Center for Early Learning Professionals converted face-to-face trainings to virtual and provided tech tutorials to Rhode Island's early childhood teachers. Staff also launched an online hub of COVID-19 related resources in English and Spanish that links to EDC.org's COVID-19 webpage and created "learn at home" resources for teachers to share with families. Staff swiftly updated EDC's Infectious Diseases site to bring the site up to technical code and add new COVID-19 content to help young people understand the pandemic and their role in preventing its spread. On April 28, the National Action Alliance for Suicide Prevention at EDC launched the U.S. COVID-19 Mental Health and Suicide Prevention Response Effort to address immediate mental health needs and prepare for future needs by mitigating risks and building resiliency. This effort includes leaders from American Express, the Centers for Disease Control & Prevention, Johnson & Johnson, and 20+ national organizations.

Schedule F, Part I, Line 2 Education Development Center, Inc (EDC) is a global nonprofit organization that develops, delivers, and evaluates innovative programs to address some of the world's most urgent challenges. We seek grants and contracts from public-sector and private sponsors to carry out programs consistent with EDC's charitable and educational mission: to improve education, health promotion and care, workforce preparation, communication technologies, and civic engagement. Our services include research, training, educational materials and strategy, with activities ranging from seed projects to large-scale national and international initiatives. EDC issues subawards and grants to a wide variety of organizations to implement our overseas programs, including US and Non-US governmental organizations (NGOs), community based organizations, universities, and for-profit organizations. The capabilities of subawardees are examined by EDC either before it submits a proposal to its sponsor or post-award. Subawardees are approved in accordance with sponsors' requirements. For overseas grant programs that are implemented post award, EDC customizes a selection and evaluation RFA process that reflects the technical purpose of the subgrant program and the expected capacity of local recipients. Evaluation factors include a review of technical capacity, past performance, and financial/managerial capacity, as well as an evaluation of the programmatic proposal submitted by applicants. EDC Subgrants and Subcontracts are drafted by EDC's Office of Sponsored Programs, with the guidance of EDC's General Counsel as needed, and technical guidance from the EDC Project Director and local management staff. In some situations, local subgrants are drafted by EDC's field office staff using templates provided by EDC's Office of Sponsored Programs. These agreements contain detailed technical work statements, milestones, budgets, reporting requirements and any flow-down clauses, terms and conditions necessary to ensure that the subawards are carried out in a manner compliant with applicable federal, state, and local law and the terms of EDC's grants and contracts from its sponsors. Prior to issuing any subgrant, and pursuant to Executive Order 13224, EDC obtains a certification from prospective subgrantees that the recipient did not provide within the previous ten years, material support or resources to any individual or entity that commits, attempts to commit, advocated, facilitated, or participates in terrorist acts. EDC also confirms that the organization, official signatory, and key personnel are not listed on any of the major databases of persons and organizations linked with terrorism. The international grant agreements also contain specific provisions to protect against grant funds being used to support terrorist organizations or activities, to support or oppose any candidates for political office, for lobbying purposes, or in violation of any applicable laws. Payment provisions include cost reimbursement, advance and reconciliation and/or fixed amount awards paid upon achievement of milestones. Payments are regularly monitored to help ensure that significant grant amounts are not at risk for improper use or diversion. Technical and Financial monitoring of Subgrantees is accomplished in several ways and could include review of programmatic and financial reports, desk reviews, periodic site visits, and review of supporting documentation.

Schedule I, Part I, Line 2 Education Development Center, Inc (EDC) is a global nonprofit organization that develops, delivers, and evaluates innovative programs to address some of the world's most urgent challenges. We seek grants and contracts from public-sector and private sponsors to carry out programs consistent with EDC's charitable and educational mission: to improve education, health promotion and care, workforce preparation, communication technologies, and civic engagement. Our services include research, training, educational materials and strategy, with activities ranging from seed projects to large-scale national and international initiatives. EDC partners with a wide variety of organizations, including nonprofits, universities, hospitals and for-profit organizations throughout the United States through project-specific subgrants and subcontracts. The capabilities of subawardees are examined by EDC before it submits a proposal to its sponsor or post-award. Subawardees must usually be approved in advance in accordance with EDC's sponsors' requirements. For every EDC subgrant or subcontract a written agreement is made with the subawardee to carry out a substantive part of the work for which EDC has received its funding. These agreements are drafted by EDC's Office of Sponsored Programs, under the guidance of EDC's General Counsel, with technical guidance from the EDC Project Director. These contracts contain detailed technical work statements, budgets, reporting requirements, audit requirements and any other terms necessary to ensure that the subawards are carried out in a manner compliant with applicable federal, state and local laws, and the terms of EDC's grants and contracts from its sponsors. Performance by the subrecipient is monitored by the EDC Project Director, who is responsible for technical monitoring of subawards. The EDC Project Director is assisted by a financial manager to review and authorize payment of subrecipient invoices. For each subaward an appropriate monitoring plan is established, based on an assigned risk rating. The risk rating is based on information about the subrecipient's financial systems, gathered prior to issuing the subaward. The Project Director is required to periodically submit a subrecipient monitoring report to OSP, which is responsible for maintaining these reports.

Form 990, Part VI, Section A, Line 6 EDC was organized as a membership corporation pursuant to the laws of the state of Delaware. Pursuant to Delaware law, four corporate powers are reserved to Members. Those powers are detailed in Article II b of EDC's Amended bylaws which states: B. Members of the Corporation and Their Authority: The Trustees shall constitute the Membership of the Corporation and no person may be a Member of the Corporation who is not also a Trustee. The Members of the Corporation are responsible for the following four actions: 1) Election and removal of Trustees; 2) Approval of amendments of the Certification of Incorporation; 3) Approval of mergers with another organization; 4) Approval of the sale or disposition of EDC.

Form 990, Part VI, Section B, Line 11b The Form 990 is prepared by management and reviewed by tax professionals at Grant Thornton, the CFO, and the Audit Committee of the Trustees. The complete Form 990 and all schedules are provided to every board member prior to filing the form with the IRS.
Form 990, Part VI, Section B, Line 12c EDC has a conflict of interest policy that governs trustees and officers and a separate policy that governs all other EDC employees. The policy requires an annual training, disclosure, and certification with mandatory updates and also upon hire. Potential conflicts are managed by a Conflicts Review Committee comprised of EDC's General Counsel, Senior Human Resources Manager, and Director of Corporate Compliance who have no connection to the potential conflict.
Form 990, Part VI, Section B, Line 15 The Executive Committee of the Board (serving as the Compensation Committee) sets and approves the C.E.O. compensation as well as compensation proposed by the C.E.O. for the senior vice presidents. Each year, the C.E.O. works with the V.P. of Human Resources to recommend appropriate pay levels for the other senior executives based on market data and performance information. For other employees, the Executive Committee will provide and monitor adherence to the approved compensation philosophy and systems through management reports and surveys. Market data is gathered on an ongoing basis from reliable and valid sources. Decisions and deliberations are contemporaneously documented.
