The amended bylaws now allocate one of the five board of director positions to affiliate members. Community managers remain the voting members in OWCAM. Affiliates are non-voting members who typically provide product or services in the community management industry. Affiliate members are limited to one term in office and cannot serve as President.2. A conflict of interest provision is added. In summary, the provision requires disclosure of conflicts and recusal from affected decisions. Recognition of a dispute and waiver of a conflict shall be resolved by a vote of disinterested directors and only if the waiver is in OWCAMs best interests.
