MADE A GRANT OF 33.33% OF THEIR LIMITED PARTNERSHIP INTEREST TO THE CLARENCE WESTBURY FOUNDATION, A RELATED FOUNDATION. IN ADDITION, PURSUANT TO A PLAN OF PARTIAL LIQUIDATION WITH THE SEARCH FOUNDATION, ON OCTOBER 1, 2019, SCALER FOUNDATION, INC. MADE A SEPARATE GRANT OF 33.33% OF THEIR LIMITED PARTNERSHIP INTEREST TO THE SEARCH FOUNDATION, ALSO A RELATED FOUNDATION. AFTER THE GRANTS WERE COMPLETED, SCALER FOUNDATION, INC. RETAINED A 33.34% LIMITED PARTNERSHIP INTEREST IN THE FEEDER, AND THE THREE RELATED PARTY FOUNDATIONS MAINTAINED 100% CONTROL OF THE FEEDER.FEEDER PREVIOUSLY FILED FORM 8832 WITH THE INTERNAL REVENUE SERVICE WHEREIN IT ELECTED TO BE CLASSIFIED AS AN ASSOCIATION TAXABLE AS A CORPORATION. THIS ELECTION WAS APPROVED BY THE INTERNAL REVENUE SERVICE EFFECTIVE JULY 2, 2014.
