Specifically, the section relating to non-profit establishments serves as the primary guide. The board also considers such factors as previous salary of an employee at another job, unique skills of an employee, past experience, and the employee's stature in the public safety community e.g. nationally known and serving in additional public safety capacities. Compensation levels for all employees and contractors are approved by a vote of the Board of Directors, all of whom are disinterested individuals and none of whom have a conflict of interest position with respect to the compensation levels. Board members are not compensated for their time nor do any of them have a personal relationship with any employee or contractor. In the event that any Board member has a conflict with a compensation arrangement, that Board member would be required to report the conflict and recuse himself/herself from the vote regarding the arrangement. Compensation decisions are recorded in the minutes of the Board of Directors. |
