| GENERAL STATEMENT REGARDING THE IMPACT OF COVID-19 ON THE ORGANIZATION: | IN MARCH 2020, THE WORLD HEALTH ORGANIZATION DECLARED THE OUTBREAK OF A NOVEL CORONAVIRUS ("COVID-19") AS A PANDEMIC. THE VIRUS CONTINUES TO SPREAD THROUGHOUT THE UNITED STATES AND THE WORLD. THE SPREAD OF COVID-19 HAS CAUSED SIGNIFICANT VOLATILITY IN THE U.S. AND INTERNATIONAL MARKETS. THERE IS SIGNIFICANT UNCERTAINTY AROUND THE BREADTH AND DURATION OF BUSINESS DISRUPTIONS RELATED TO COVID-19, AS WELL AS ITS IMPACT ON THE U.S. AND INTERNATIONAL ECONOMIES, INCLUDING MATERIAL IMPACTS TO THE BUSINESS AND OPERATIONS OF THE ZOO DURING THE YEAR ENDING FEBRUARY 28, 2021. THE ZOO RECEIVED PAYCHECK PROTECTION PROGRAM ("PPP") LOANS IN THE AMOUNT OF $3,450,000 AND $2,000,000 ON APRIL 14, 2020 AND FEBRUARY 9, 2021, RESPECTIVELY, GRANTED BY THE SMALL BUSINESS ADMINISTRATION UNDER THE CORONAVIRUS AID, RELIEF, AND ECONOMIC SECURITY ACT ("CARES ACT"). PPP LOANS ARE CONSIDERED CONDITIONAL CONTRIBUTIONS, SUBJECT TO A RIGHT-OF-RETURN IN THE FORM OF AN OBLIGATION TO REPAY THE FUNDS IF A BARRIER TO ENTITLEMENT IS NOT MET. THE BARRIER IS THAT PPP LOAN FUNDS MUST BE USED TO MAINTAIN EMPLOYEE HEADCOUNT, RELATED COMPENSATION COSTS, AND OTHER QUALIFYING EXPENSES INCURRED FOLLOWING RECEIPT OF THE FUNDS. FOR THE PPP LOAN RECEIVED IN APRIL 2020, THE ZOO RECOGNIZED THE AMOUNT RECEIVED AS GRANT REVENUE AS QUALIFIED EXPENSES OCCURRED/BARRIERS TO ENTITLEMENT WERE MET. FOR THE YEAR ENDED FEBRUARY 28, 2021, THIS RESULTED IN PPP GRANT REVENUE OF $2,709,000 BEING RECOGNIZED IN THE STATEMENT OF ACTIVITIES AND THE REMAINING PORTION OF THE PPP LOAN PROCEEDS OF $2,741,000 INCLUDED WITHIN REFUNDABLE ADVANCE IN THE STATEMENT OF FINANCIAL POSITION. APPLICATION FOR FORGIVENESS OF THE ENTIRE AMOUNT OF THE PPP LOAN RECEIVED IN APRIL 2020 WAS MADE IN APRIL 2021, ACCOMPANIED BY REQUIRED COMPLIANCE SUBSTANTIATION AND CERTIFICATION. HOWEVER, AT THE TIME OF ISSUANCE OF THE FINANCIAL STATEMENTS, NOTICE OF FORGIVENESS OF THAT LOAN HAD NOT BEEN RECEIVED FROM THE LENDER. ALL DOCUMENTATION SUPPORTING PROGRAM COMPLIANCE HAS BEEN MADE AVAILABLE FOR THE FINANCIAL STATEMENT AUDIT. ALL INDICATIONS ARE THAT THE LOAN WILL BE FORGIVEN IN FULL. HOWEVER, IF A PORTION OF THE LOAN MUST BE REPAID, THE TERMS (1% PER ANNUM, REPAYABLE OVER A MAXIMUM OF FIVE YEARS WITH A SIX-MONTH DEFERRAL PERIOD) ARE SUCH THAT THE ZOO EXPECTS TO HAVE SUFFICIENT ACCESS TO SOURCES OF LIQUIDITY TO REPAY THE UNFORGIVEN PORTION. APPLICATION FOR FORGIVENESS OF THE PPP LOAN RECEIVED IN FEBRUARY 2021 WILL BE MADE ONLY AFTER THE APPLICABLE PERIOD FOR USE OF THOSE FUNDS HAS EXPIRED. ON JUNE 29, 2020, THE ZOO RECEIVED FUNDING THROUGH THE SMALL BUSINESS ADMINISTRATION'S ECONOMIC INJURY DISASTER LOAN (EIDL) PROGRAM AUTHORIZED BY THE CARES ACT. THE LOAN AMOUNT WAS $150,000, WITH MONTHLY PRINCIPAL PAYMENTS COMMENCING ON JUNE 29, 2021. THE TERM OF THE LOAN IS 30 YEARS AND THE LOAN MATURES ON JUNE 29, 2050. THE EFFECTIVE INTEREST RATE IS 2.75% AT FEBRUARY 28, 2021. AS A RESULT OF COVID-19, IN THE SPRING OF 2020, THE ZOO CLOSED ITS HISTORIC GATES FOR MORE THAN 100 DAYS, RE-OPENING WITH LIMITED CAPACITY TO GUESTS ON JULY 6, 2020. DESPITE THE ZOO'S CLOSURE TO THE PUBLIC, THE ORGANIZATION CONTINUED ITS DAILY CARE OF MORE THAN 1,300 ANIMALS. WITH SEVERELY DIMINISHED EARNED REVENUE, THE MOUNTING COSTS OF FOOD AND NUTRITION, MEDICINE AND MEDICAL CARE, ANIMAL PROFESSIONALS AND ALL OTHER ASPECTS OF OPERATING THE ZOO STILL CONTINUED. FACING A $20 MILLION LOSS IN ONE YEAR ALONE, THIS LEVEL OF FINANCIAL HARDSHIP WILL TAKE MANY YEARS TO RECOVER. |
