Explanation

Schedule R, Part I

The Board of Trustees of the Northeast Catholic Alumni Association Inc and the Northeast Catholic Alumni Memorial Scholarship Fund Inc are identical. Both Boards are comprised of the incumbent president and past presidents of the Alumni Association. Additionally, some members of the Board of Trustees of the Scholarship Fund are Class Representatives on the Board of Governors of the Alumni Association. The president of the Association, Robert J Kensil Jr, is Chairman of the Board of Trustees of the Scholarship Fund. Leonard K. Knobbs was Treasurer of the Alumni Association and Treasurer of the Scholarship Fund until his death on December 17, 2020 from complications of COVID-19

Explanation:

On December 17, 2020, our Treasurer of many years, Leonard K. Knobbs, died from complications of COVID-19. Since that time, several officers and members of the Association have been working to further the mission of the Association which was established in 1929. This has proven to be a substantial undertaking. Even though we knew that Mr. Knobbs spent an inordinate amount of time in his retirement years making the Association successful, none of us were aware of his contributions in terms of the breath, depth and complexity of his contributions. We believed that Form 990 was completed and filed with Internal Revenue Service based on a cursory review of our files. We received several letters from IRS that were NOT read closely. We assumed that these letters were informing us the we would be required to file our returns electronically in the future. Upon further investigation, we learned that our tax return was not filed. One of our members, a retired CPA volunteered his services to document our accounting practices and file this delinquent return. He is now in the process of preparing the Form 990 for our recent year end of June 30, 2021. Mr. Knobbs death and challenges presented by COVID-19 are not really excuses but they certainly contributed to our delinquency for which we are sincerely apologetic. This will not happen in the future.
