Part X : FIN48 Footnote The Bureau is exempt from federal income tax under section 501(c)(6) of the Internal Revenue Code and the related section 23701(e) of the California Corporate Code. The Bureau is subject to taxation on any unrelated business income.Accounting principles generally accepted in the United States require those charged with governance to evaluate tax positions taken by the Bureau and recognize a tax liability if the Bureau has taken an uncertain tax position that more likely than not would not be sustained upon examination by the Internal Revenue Service. The Bureau has evaluated the tax positions taken and has concluded there are no uncertain tax positions taken that would require recognition of a liability or disclosure in the financial statements.The Bureau is subject to routine audits by taxing jurisdictions. There are no pending audits and therefore all open years under the respective statutes of limitations remain subject to examination.

Form 990, Part VI, Line 11b: Form 990 Review Process A copy of the 990 is e-mailed to each of the board members prior to the filing of the annual return. Any questions or concerns are resolved prior to filing.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts The Conflict of Interest Policy is reviewed annually with the board of directors. The CEO discloses annually everything that he is involved in. The outside auditors review the policy with the board of directors for compliance. Related party transactions between board members and the BBB are disclosed in the audited financial statements. Employees as well as the board of directors review and sign the conflicts of interest policy annually.
Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management Compensation for the CEO is set by the Executive Committee of the Board of Directors based on recommendations of the Compensation Committee. Comparative salaries of similar BBB organizations and similar local non-profits are reviewed. Based on that data and length of service and the health of the organization, a base salary is established. In 2019, the BBB was currently in the third year of a four-year contract, ending December 2020. Formal minutes of the compensation committee are not maintained.
