| Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents | THE ORGANIZATION AMENDED ITS ARTICLES OF ORGANIZATION WITH THE STATE OF ILLINOIS ON 11/8/20 AS A RESULT OF THE 2018 990-T IRS EXAMINATION. THE PURPOSE OF THE ORGANIZATION WAS UPDATED TO REFLECT THE FOLLOWING LANGUAGE:"To erect or rent, equip, and maintain a chapter facility near Charleston, Illinois, for the Zeta Alpha Chapter of the Alpha Phi International Fraternity, Inc., for the use of their members and guests, and for such purpose to acquire, sell, convey, incur debts, issue bonds or other evidences of indebtedness; to purchase or construct buildings or other improvements upon any land; to rent facilities; and, generally, to enter into and perform contracts of every character necessary or advantageous in carrying out the object for which this corporation is formed, and to have such incidental powers as may be necessary, requisite or proper to effectuate and accomplish the objects and purposes herein specified. And, to provide worthy women with educational support in the pursuit of courses of study at the Eastern Illinois University, or other educational institutions, as needed. If the charter of this chapter is withdrawn or surrendered, or for any reason the chapter ceases to exist, this corporation shall liquidate all assets held by it for the use of the chapter and shall thereupon promptly dissolve. Upon dissolution, whether by reason of withdrawal or surrender of the charter of the collegiate chapter, or otherwise, all funds and property of this corporation remaining after payment of outstanding debts and obligations shall be transferred and paid to the Special Fund of Alpha Phi International Fraternity, Inc.; provided however, if the chapter for which this corporation was organized is thereafter reactivated and a new corporation is organized for the benefit of such chapter, Alpha Phi International Fraternity, Inc., shall return to the chapter or to such new corporation for the use of the chapter, in such manner as may be determined by the executive board, a sum equal to the net amount of the funds and property so transferred." |
