Briefly describe the organization’s mission: The George Kaiser Family Foundation ("GKFF") is organized for the specific and primary purpose of benefiting, performing the functions of, or carrying out the purpose of that class of publicly supported organizations, including Tulsa Community Foundation, that are described in Sections 501(c)(3) and 509(a)(1) or (2) of the Internal Revenue Code, and that engage in charitable activities which are consistent with the charitable purposes of Tulsa Community Foundation. George Kaiser Family Foundation (GKFF) is a charitable organization based in Tulsa, Oklahoma. The foundation is a Type I supporting organization of the Tulsa Community Foundation as described in IRC Section 509(a)(3). The foundation is dedicated to breaking the cycle of poverty through investments in early childhood education, community health, social services and civic enhancement.

Part III, Line 4: WOODY GUTHRIE ARCHIVE: Over 10,000 mixed media items including but not limited to artwork, books, recordings, personal notebooks, photographs, personal correspondence, manuscripts, and lyrics archiving the life and work of Woody Guthrie, a native of Oklahoma. Preserving his work advances the mission of the Foundation to support the arts and celebrate Oklahoma history. BOB DYLAN ARCHIVE: A collection of tens of thousands of song lyrics, photos and AV materials and other papers which will be used for scholarly, artistic, cultural and economic development purposes in the downtown Tulsa area.
Part X, Line 2: FASB ASC 740 Footnote in Audited Financial Statements- The Foundation is a not-for-profit corporation as described in Section 501(c)(3) of the Internal Revenue Code and has received a determination letter from the Internal Revenue Service indicating the tax-exempt status. Management believes that the Foundation will continue to generally be exempt from taxes. However, certain investment activities are subject to various taxes. For the years ended December 31, 2021 and 2020, the Foundation incurred no federal income taxes.

Part I, Line 2: GKFF maintains minutes from all Board of Directors' meetings and keeps a record of all grants awarded using MicroEdge Gifts software. A Grant Agreement letter accompanies each grant award, wherein the conditions associated with the grantee's use of the funds are outlined. Grantees are required to sign and return the grant agreement. In addition, grantees must submit either 6-month or 12-month progress reports on the charitable activities and outcomes accomplished with the grant award.

Form 990, Part I, Line 4 and Part VI, Line 1b The test for voting member independence is a 4-pronged test. Directors must meet all 4 requirements to be considered independent. Seven of the directors of the George Kaiser Family Foundation meet 3 of the 4 requirements of independence, but do not meet the stringent requirements of all four tests. Three directors meets all four requirements and are considered Independent Directors.
Form 990, Part VI, Section A, line 2 Multiple employees and directors obtain legal services from Director Fred Dorwart's legal firm. Directors, Philip Kaiser, Leah Kaiser, and Emily Kaiser are brother and sisters.
Form 990, Part VI, Section A, line 7a Line 7a explanation - George B. Kaiser, a substantial contributor to the George Kaiser Family Foundation can appoint donor class trustees. The majority of the trustees to the organization (7) are appointed by the Supported Organization, Tulsa Community Foundation. Tulsa Community Foundation, the supported organization, must, by agreement, select and appoint more than 50% of the board members, which may not otherwise be disqualified.
Form 990, Part VI, Section A, line 7b Line 7b explanation - By agreement, the George Kaiser Family Foundation must give at least two weeks notice to Tulsa Community Foundation Board of Trustees of its intent to execute "major decisions", which are actions including, but not limited to, mergers, acquisitions, dissolutions, and the like. No "major decisions" may be executed until at least two weeks after this notice is given.
Form 990, Part VI, Section B, line 11b Line 11b explanation - At least one of the ten GKFF Directors, along with the Foundation's employees, helps to prepare the 990. All directors and certain employees review the Form 990 prior to filing. All directors and employees provide information to the tax preparers so that appropriate disclosures can be made in Form 990.
