| GENERAL STATEMENT REGARDING THE IMPACT OF COVID-19 ON THE ORGANIZATION: | IN MARCH 2020, THE WORLD HEALTH ORGANIZATION DECLARED THE OUTBREAK OF A NOVEL CORONAVIRUS ("COVID-19") AS A PANDEMIC. THE VIRUS CONTINUES TO SPREAD THROUGHOUT THE UNITED STATES AND THE WORLD. THE SPREAD OF COVID-19 HAS CAUSED SIGNIFICANT VOLATILITY IN THE U.S. AND INTERNATIONAL MARKETS. THERE IS SIGNIFICANT UNCERTAINTY AROUND THE BREADTH AND DURATION OF BUSINESS DISRUPTIONS RELATED TO COVID-19, AS WELL AS ITS IMPACT ON THE U.S. AND INTERNATIONAL ECONOMIES, INCLUDING MATERIAL IMPACTS TO THE BUSINESS AND OPERATIONS OF THE ZOO. THE ZOO RECEIVED PAYCHECK PROTECTION PROGRAM ("PPP") LOANS IN THE AMOUNT OF $3,450,000 AND $2,000,000 ON APRIL 14, 2020 AND FEBRUARY 9, 2021, RESPECTIVELY, GRANTED BY THE SMALL BUSINESS ADMINISTRATION UNDER THE CORONAVIRUS AID, RELIEF, AND ECONOMIC SECURITY ACT ("CARES ACT"). PPP LOANS ARE CONSIDERED CONDITIONAL CONTRIBUTIONS, SUBJECT TO A RIGHT-OF-RETURN IN THE FORM OF AN OBLIGATION TO REPAY THE FUNDS IF A BARRIER TO ENTITLEMENT IS NOT MET. THE BARRIER IS THAT PPP LOAN FUNDS MUST BE USED TO MAINTAIN EMPLOYEE HEADCOUNT, RELATED COMPENSATION COSTS, AND OTHER QUALIFYING EXPENSES INCURRED FOLLOWING RECEIPT OF THE FUNDS. FOR THE PPP LOAN RECEIVED IN APRIL 2020, THE ZOO RECOGNIZED THE AMOUNT RECEIVED AS GRANT REVENUE AS QUALIFIED EXPENSES OCCURRED/BARRIERS TO ENTITLEMENT WERE MET. FOR THE YEAR ENDED FEBRUARY 28, 2021, THIS RESULTED IN PPP GRANT REVENUE OF $2,709,000 BEING RECOGNIZED IN THE STATEMENT OF ACTIVITIES AND THE REMAINING PORTION OF THE PPP LOAN PROCEEDS OF $2,741,000 INCLUDED WITHIN REFUNDABLE ADVANCE IN THE STATEMENT OF FINANCIAL POSITION. APPLICATION FOR FORGIVENESS OF THE ENTIRE AMOUNT OF THE PPP LOAN RECEIVED IN APRIL 2020 WAS MADE IN APRIL 2021. THIS LOAN WAS FORGIVEN IN SEPTEMBER 2021 AND THE REMAINING LOAN PROCEEDS OF $741,000 WERE RECOGNIZED IN THE STATE OF ACTIVITIES FOR THE YEAR ENDED FEBRUARY 28, 2022. APPLICATION FOR FORGIVENESS FOR THE ENTIRE AMOUNT OF THE PPP LOAN RECEIVED IN FEBRUARY 2021 WAS MADE IN SEPTEMBER 2021. THIS LOAN WAS FORGIVEN IN NOVEMBER 2021 AND THE ENTIRE LOAN PROCEEDS OF $2,000,000 WERE RECOGNIZED IN THE STATEMENT OF ACTIVITIES FOR THE YEAR ENDED FEBRUARY 28, 2022. THE LOAN AMOUNT WAS $150,000, WITH MONTHLY PRINCIPAL PAYMENTS COMMENCING ON JUNE 29, 2021. THE TERM OF THE LOAN IS 30 YEARS AND THE LOAN MATURES ON JUNE 29, 2050. THE LOAN WAS PAID IN FULL AS OF FEBRUARY 28, 2022. IN APRIL 2021, THE ZOO APPLIED FOR PAYROLL TAX REFUNDS UNDER THE CARES ACT EMPLOYMENT RETENTION CREDIT WHICH ENCOURAGES ORGANIZATIONS TO KEEP EMPLOYEES ON THEIR PAYROLL. REFUNDS WERE REQUESTED FOR THE PERIOD APRIL 2020 THROUGH JUNE 2020 DURING WHICH TIME THE ZOO WAS CLOSED BY ORDER OF THE PHILADELPHIA CITY GOVERNMENT, AND FOR THE PERIOD JANUARY 2021 THROUGH MARCH 2021. AS OF FEBRUARY 28, 2022. THE ZOO RECEIVED $1,195,000 IN PAYROLL TAX REFUNDS, WHICH ARE RECOGNIZED AS EMPLOYEE RETENTION TAX CREDITS ON THE STATEMENT OF ACTIVITIES. IN APRIL 2021, THE ZOO ALSO APPLIED FOR SUPPORT UNDER THE SHUTTERED VENUES OPERATORS GRANT (SVOG) PROGRAM, WHICH IS PART OF THE ECONOMIC AID TO HARD-HIT SMALL BUSINESSES, NONNPROFITS AND VENUES ACT (ECONOMIC AID ACT) SIGNED INTO LAW ON DECEMBER 27, 2020. THE ZOO RECEIVED $8,000,000 IN JULY 2021.
