As a member of Hartford HealthCare Corporation (HHC), Cardiology services at St. Vincent Medical Center are provided through the Hartford HealthCare Heart and Vascular Institute. As a patient or family member, there are many reasons to choose the Hartford HealthCare Heart and Vascular Institute. Whether you enter our system through one of our board-certified cardiologists in an outpatient setting, in an emergency by way of LIFE STAR helicopter, or at one of our seven hospitals, including a tertiary care level teaching hospital, we provide the coordinated, evidence-based care that you need to get back on your feet again. The stress of driving long distances for care and assessment can have a serious impact on the patient's quality of life. The care provided at the St. Vincent's regional Heart and Vascular Center works seamlessly with the Heart & Vascular Institute's Center for Advanced Heart Failure at Hartford Hospital. The Center offers a range of cardiac treatments and surgical procedures for patients and their loved ones performed by our expert cardiac care team.At the completion of FY21, the Center had approximately 20,226 visits with an average length of stay of 5.2 days.

Hartford HealthCare is Connecticut's most comprehensive healthcare network. Our fully integrated health system includes a tertiary-care teaching hospital, an acute-care community teaching hospital, an acute-care hospital and trauma center, two community hospitals. The Hartford HealthCare Cancer Institute encompasses comprehensive cancer centers at seven hospitals across Connecticut - Hartford Hospital, The Hospital of Central Connecticut, The William W. Backus Hospital, Midstate Medical Center, Windham Community Memorial Hospital, The Charlotte Hungerford Hospital and St. Vincent's Medical Center. Collectively, the cancer programs within the Cancer Institute treat more than 5,000 new cancer patients per year while caring for tens of thousands of existing patients, offering a full range of innovative, evidence-based and personalized treatments designed to meet the needs of each individual patient. Our innovative Institute approach is unlike any other in the state and is among the most highly regarded in the nation. Through our Institute, which is organized around a specific disease and not necessarily location, we can apply best practices throughout our system so that patients receive the same high standards of care no matter where they live or which Hartford HealthCare cancer center they choose. For all of our patients, a dedicated team of oncologists, surgeons, radiologists, pathologists, nurses, clinical researchers, technicians and others collaborate to provide the exact course of care they need. The Institute's multidisciplinary disease management teams meet and collaborate regularly to lend expertise and insight on numerous cancer types, translating into exceptional coordinated care. The Institute's accomplished, fellowship-trained physicians are nationally recognized for their level of sophisticated care in areas such as radiation oncology, medical oncology and surgical oncology. The Connecticut Orthopedic Institute at St. Vincent's Medical Center is staffed by some of the top orthopedic specialists in the region through a partnership with Connecticut Orthopedic Specialists and Comprehensive Orthopedics and Musculoskeletal Care. The surgeons, and their patients, also have access to the best-available robotics-assisted technology, Mako Robotic-Arm Assisted Surgery for knees and hips, and Mazor X Robotic Spine Surgery for the spine. The Mazor X Robotic Spine Surgery makes a procedure less invasive and more precise. For our patients, that means a quicker recovery and restored function of your knee, hip, or spine. Conditions treated include but is not limited to: Arthritis; Degenerative Joint Disease, Hand/Repetitive Motion; Hip; Knee; Osteoporosis; Shoulder; and Spine. The Institute is made up of the following departments: Orthopedic Surgery; Mako System; Sports Medicine; and Telerehabilitation.At the completion of FY21, the Division of Orthopedics had approximately 7,486 visits with an average length of stay of 4.6 days

St. Vincent's Medical Center continues its mission of carrying on the work of the Daughters of Charity and their commitment to serve the sick and poor of Bridgeport. St. Vincent's Medical Center is a licensed 473-bed community teaching and referral hospital with a Level II trauma center and a 76-bed inpatient psychiatric facility in Westport. The Medical Center offers a full range of inpatient and outpatient services with regional centers of excellence in cardiology, surgery, cancer care, orthopedics, family birthing, behavioral health, and an array of specialized services.St. Vincent's Health Services includes the Medical Center, St. Vincent's Behavioral Health Services, St. Vincent's Special Needs Services, and St. Vincent's Medical Center Foundation. In 2010, the Medical Center broke ground on the Elizabeth M. Pfriem SWIM Center for Cancer Care, the renovated and expanded Michael J. Daly Emergency Department.The Elizabeth M. Pfriem SWIM Center for Cancer Care contains all oncology services in one place. These services encompass the full spectrum of cancer care and include community outreach, screening and prevention, diagnostic services, surgical and medical oncology, radiation therapy, interventional oncology, clinical trials, dedicated inpatient and outpatient cancer units, palliative care, pain management, integrative oncology, support services, patient and provider education and survivorship. The Center offers integrative oncology services, including a boutique, spa services, nutrition counseling, social work, financial counseling, a meditation area, support services and a survivorship program.The Michael J. Daly Center for Emergency and Trauma Care was renamed in December of 2009 as the first section of the expanded and refurbished emergency department which opened in the fall 2010. The completely renovated emergency department, tripled in size, holds 60 beds, includes specialized trauma and critical care suites, a "Fast Track" area for minor case needs, dedicated OB/GYN rooms, pediatric area, expanded Behavioral Health and Psychiatric area with focus on privacy and safety, improvements in diagnostic equipment, including its own CT scanner, ultrasound and X-ray equipment to expedite diagnosis and treatment of emergency room patients and a permanent decontamination facility for hazardous spills.

Part II-B, Line 1: SVMC Holdings, Inc. dba St. Vincent Medical Center paid annual dues to Connecticut Hospital Association (CHA). CHA conducts lobbying activities on behalf of its members. CHA allocates a portion of their dues as lobbying expenses. The portion of dues allocated as lobbying expenses is calculated under current Medicare rules. CHA conducts lobbying activities under current Medicare rules. In addition, the Organization occasionally asks its employees to volunteer their time to contact state legislators in an effort to lobby on its behalf. The total amount of dues allocated for lobbying expenses for FY21 was $66,513.

Part V, Line 4: The Hospital has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to mission related programs such as those described in Part III, lines 4a-d while seeking to maintain purchasing power of the endowment assets. Endowment assets include those assets of donor-restricted funds that the Hospital must hold in perpetuity or for a donor-specific period(s). Under this policy, the endowment assets are invested in a manner that is intended to produce a real return, net of inflation and investment management costs, of at least 4% over the long term. Actual returns in any given year may vary from this amount. The Hospital's endowment consists of hundreds of individual funds established for a variety of purposes including but not limited to patient care, research and capital needs. Net assets associated with endowment funds are classified and reported based on the existence or absence of donor-imposed restrictions.

According to the 2019 CHNA document, additional data was obtained "from sources including, but not limited to, the U.S. Census, U.S. Bureau of Labor Statistics, Centers for Disease Control and Prevention, State of Connecticut Department of Public Health, Connecticut Health Information Management Exchange (CHIME), as well as local organizations and agencies. Types of data include vital statistics based on birth and death records." In addition, quantitative data was obtained through a Community Wellbeing Survey conducted by DataHaven. According to the 2019 CHNA, "The Community Wellbeing Survey team assisted the Health Improvement Alliance to gather quantitative primary data that were not provided by secondary sources and to understand public perceptions around health, including social determinants, and other issues. The Wellbeing Survey was conducted from March to November 2018 by the Siena College Research Institute. The Survey was administered to randomly-selected landlines and cell phones and resulted in in-depth interviews with 16,043 adults statewide including 1,715 adults living in Bridgeport, Easton, Fairfield, Monroe, Stratford and Trumbull. The survey was designed by DataHaven and the Siena College Research Institute, in consultation with local, state, and national experts including members of HIA. Interviews were weighted to be statistically representative of adults in each city, town or geographic region. Surveys were administered in both English and Spanish and zip codes were targeted to supplement samples of hard-to-reach populations."Qualitative data was obtained through community conversations and key informant surveys. According to the 2019 CHNA, "In February and March 2019, seven community conversations engaging a total of 114 individuals were conducted by Health Equity Solutions (HES) in the Greater Bridgeport region. The goals of the community conversations were to determine residents' perceptions of health strengths and needs in the Greater Bridgeport region; to identify gaps, challenges, and opportunities for addressing community needs more effectively; and to explore how these issues can be addressed in the future." Key informant surveys were conducted online and, according to the 2019 CHNA document, were "administered and analyzed by the Yale School of Public Health Student Consulting Group. The online survey was administered to two groups consisting of community leaders and health and human service providers, in the Greater Bridgeport area using Qualtrics, an online survey tool. Surveys were designed to better understand the health needs of the Greater Bridgeport region and included qualitative and quantitative questions on community health initiatives, health related problems, barriers to good health, health services, and current outlooks."The document also describes how the medically underserved, low income, or minority populations were represented. The 2019 CHNA states, "Working with the Health Improvement Alliance (HIA), groups having a disproportionate burden of health issues were identified (i.e., lower-income adults, uninsured residents, individuals with limited English proficiency or Latino adults) as a priority to include in the community conversations. HIA members identified specific groups and/or organizations that fulfilled these criteria, and Health Equity Solutions organized and facilitated the following groups: uninsured residents from an urban free health clinic; a mixed group of community residents; residents affiliated with a Hispanic church; parish nurses; seniors from two urban/suburban senior centers; and community members of an urban/suburban community center."

This new streamlined approach to these focus areas allowed for less duplication and more concentrated effort. * The PCAG partnership officially changed its name in early 2019 to the Health Improvement Alliance (HIA). This new name was chosen to more accurately reflect the current work being done by the group to improve the health of the surrounding community. In addition to the name change, a new tagline was developed, "Partnering to build healthier communities since 2003". What was once a group that came together to connect people to primary care has become a partnership working to improve health through multiple strategies and focus areas. * In 2017, a Tracking and Evaluation Subcommittee was formed and has since developed standardized forms, processes and semiannual dashboards to track progress towards goals for all of the task forces to utilize. * In 2018, a Communications Subcommittee was formed that helped with the development of the new partnership name, communications plan and website development (to be completed by summer 2019). This was all done in an effort to better communicate our work to the general public."The 2019 CHNA document also lists the following as the accomplishments of each task force from the 2016 CHNA: "Access to Care" Task Force Accomplishments: * Since 2016, the Access to Care Task Force has worked on a variety of issues that impact patients receiving and seeking appropriate medical care. They have focused their main strategies on patient transportation issues, availability of specialty care, seeking appropriate care in the appropriate setting, and asthma. * Developed and implemented a magnet and 1-page informational sheet for providers to distribute to patients. This magnet serves as a way for patients to easily identify the appropriate healthcare providers needed in certain medical situations, with a goal of decreased non-emergency trips to a hospital ED. * Created a specialty care database to identify gaps and needs in the region. * Created a dental referral form to pilot at Weisman AmeriCares Free Clinic of Bridgeport in order for their providers to refer patients with dental needs to local clinics. This pilot is still underway and the group is now planning on rolling this process out to other providers. * Developed a system and communicated it to local providers to help assist patients with setting up a dental appointment. * One of the initial accomplishments of the partnership in its early years, the Dispensary of Hope Greater Bridgeport, a free pharmacy that served over 4,500 patients in 2017 and has saved patients roughly $1.2 million in medication costs. * Stratford Health Department has been leading the regional work for Putting on AIRS. Putting on AIRS is an asthma self-management program designed to reduce environmental triggers in home and help to better control asthma symptoms. They have incorporated a Community Health Worker (CHW) onto the program team. Asthma patients now receive three education visits from Certified Asthma Educators, two visits from the CHW (phone call follow-ups) and one visit from an Environmentalist about housing issues. Since 2017, they have focused on indoor air quality and resolution of in home environmental triggers as well as the Social Determinants of Health that impact a patient's/family's ability to self-manage their asthma. First quarter analysis indicated an improvement in program completion. Behavioral Health Task Force Accomplishments:Since 2016, the Behavioral Health task force has worked to develop and implement a screening tool for mental health and substance abuse that could be integrated into different types of organizations. After development of the tool, potential sites to implement this new screener were identified, and staff at each site was trained to use the tool. In addition to this work, this group continues to oversee the work of the Community Care Team (CCT). The purpose of the CCT is to increase access to services by improving the coordination of care for frequent users of ED in local hospitals with behavioral health needs. * Developed a tool to integrate mental health and substance abuse screenings into urgent care and municipal settings. The tool has been utilized at municipal human services departments. * Supported public awareness campaigns to de-stigmatize issues around mental health and provide training to providers and support to patients and their families. Healthy Lifestyles Task Force Accomplishments:* In summer of 2018, the Cardiovascular Disease and Diabetes task force and Obesity (Healthy Lifestyles) task force combined into one group under the name Healthy Lifestyles. This combined task force has worked towards preventing chronic diseases, particularly cardiovascular disease and diabetes, through promoting healthy lifestyle choices. Know Your Numbers (KYN), a community-based health screening program for food pantries and other venues, that was developed by the Cardiovascular Disease and Diabetes Task Force in 2014, continued and was expanded upon by the Healthy Lifestyles Task Force. * Hosted an annual free family fitness event in Stratford 2016-2018 and Bridgeport in 2019. These events all included physical activity demonstrations and classes, information on local resources and activities for families to encourage movement and healthy lifestyle choices. * Offered six smoking cessation programs throughout Fairfield, Stratford and Trumbull. * Promoted healthy worksites through the creation of a Get Healthy Pledge. The pledge form contains three different types of initiatives that organizations could commit to. These included building a culture of health by integrating existing Get Healthy CT resources into the workplace, improving healthy eating options within the organization and increasing physical activity opportunities for employees. To date, 17 local organizations have signed the pledge to implement healthy eating and/or physical activity initiatives in their organization.

Part I, Line 3c: SVMC Holdings, Inc. dba St. Vincent's Medical Center used Federal Poverty Guidelines to determine eligibility. In addition, the hospital takes into consideration, medical indigency, insurance status, underinsurance status and other family eligibility criteria such as family size, employment and financial obligations.Part I, Line 6a:Although the organization does not prepare a formal Community Benefit Report, quarterly reports are submitted to Connecticut Hospital Association and Form 990 is submitted to the Connecticut Office of Health Strategy (OHS) annually.
Part I, Line 7: The organization utilized an overall cost to charge ratio (RCC), developed from the Medicare Cost Report. Total expense was adjusted for: medicaid provider taxes, directly identified community benefit expense and community building expenses. This cost to charge ratio was used to calculate costs for Part I lines 7a, b, & g. The costs associated with the activities reported on Part I, Line 7e were captured using actual time multiplied by an average salary rate. The costs associated with Line 7h, were the actual costs reported in the organization's general ledger less any industry funded studies. These costs were removed from the calculations above to avoid duplication. Costs reported in Part III, Section B6, were calculated from the Medicare cost report and reduced for Medicare costs previously reported on Part I Lines 7f and g.
Part I, Line 7g: No physician clinic costs were included in the Subsidized Health Services cost calculations.
Part II, Community Building Activities: SVMC Holdings, Inc. d/b/a St. Vincent's Medical Center (SVMC) interacts with the community to address needs and facilitate appropriate responses. For FY21, SVMC expended $51,291 on community building activities.
Part III, Line 3: A pre-bad debt financial assistance screening is in place to identify patients that may be eligible for financial assistance. Pre-bad debt accounts that are identified as meeting the requirements are adjusted prior to being sent to bad debt. Therefore, any bad debt expense that could have been attributable to charity care at the end of FY 2021 would be immaterial.
Part III, Line 4: Please see the text of the footnote that describes bad debt expense beginning on page 28 of the Audited Financial Statement. The Footnote is also applicable Part III,Line 2.
Part III, Line 8: Cost Reports were used to report Medicare allowable costs. Medicare defines allowable costs as those appropriate and helpful in developing and maintaining the operation of patient care facilities and activities. It specifically excludes certain costs that are not directly related to patient care. The hospital incurs additional expense related to the provision of care to Medicare patients that Medicare has deemed non-allowable. This additional expense includes costs of physician services (emergency on-call fees, Hospitalist Programs, recruitment, etc.), advertising costs, cafeteria costs for meals sold to visitors, etc. The Hospital attempts to collect coinsurance and deductibles from Medicare beneficiaries. To the extent collection efforts are unsuccessful, Medicare reimburses the hospital at 65% of unpaid amounts. The table reconciles the shortfall or surplus from Line 7 to the actual surplus or shortfall. The additional costs were allocated to Medicare based upon Medicare's percentage of total allowable costs. The unpaid co-insurance/deductibles were estimated using historical collection results. Any shortfall amounts have not been treated as Community Benefits.
Part III, Line 9b: SVMC Holdings, Inc. dba St. Vincent's Medical Center has adopted the Financial Assistance Policy of its Parent Company, Hartford HealthCare Corporation. The following is included in the Financial Assistance Policy: Patients who are deemed ineligible for financial assistance or who receive a partial discount and do not pay their bills may be subject to the following Extraordinary Collection Action (ECAs):*Wage Garnishments*Liens on primary and secondary residences, bank or investment accounts, or other assets*Legal actions and reporting the matter to one or more credit rating agencies*Other ECAs not listed aboveIf an individual has not submitted an application within the first 120 days from the date on which Hartford HealthCare first issues its first, post-discharge billing statement, then Hartford HealthCare may begin engaging in the ECAs described above.ECAs may begin after the first 120 days from the date on which Hartford HealthCare issues its first, post-discharge billing statement. If the patient applies for assistance within 240 days from the first notification of the self-pay balance, and is granted assistance, Hartford HealthCare will take all reasonable available measures to remove any collection actions such as negative reporting to a credit bureau or liens that have been filed.Before Hartford HealthCare initiates any collection actions, it will issue a written notice to the last known address of record for the patient (or his/her family) that describes the specific collection activities it intends to initiate (or resume), provides a deadline after which such action(s) will be initiated (or resumed), and includes a plain language summary of this Policy. Part VI, Line 2: SVMC Holdings, Inc. dba St. Vincent's Medical Center uses Emergency Room data to track increases in medical conditions such as falls, flu, drug overdoses, etc. and the same approach is taken in our outpatient clinics. Periodically information is surveyed to determine additional patients needs. Information is also tracked from other entities such as local area non-profits, government agencies and public schools.

Part VI, Line 4: The primary service area (PSA) of St. Vincent's Medical Center (SVMC) consists of the city of Bridgeport and thesurrounding towns of Fairfield, Easton, Monroe, Trumbull, Stratford, and Shelton. According to the Community Health Needs Assessment, the total estimated population of the PSA as of 2019 is 330,000. Bridgeport comprises approximately 45% of the region's population. Bridgeport itself has a population of approximately 144,400. According to the US Census bureau's July 2019 estimates, Bridgeport's population is 20.3% White, 35.3% Black or African American, 40.0% Hispanic, and 4.4% other. The Connecticut Department of Labor reported that the unemployment rate in Bridgeport was 5.5% compared to 3.4% in Fairfield, 3.4% in Trumbull, and 4.4% in Stratford, Bridgeport's closest neighboring communities.In 2018, 48.4 % of Bridgeport children under the age of 18 lived in single-parent homes, 44.3 % of families in Bridgeport are headed by single females with children under the age of 18, 33.1% of Bridgeport children lived under the federal poverty level. Only 18% of Bridgeport adults age 25 and over have a college degree or higher,; Stratford has only 33% of the residents having a college degree or higher. The proportion of residents with a college degree or higher in Easton, Fairfield, Monroe and Trumbull is greater than that of the state, with Fairfield's adults having a college educational attainment rate of 63%.
Part VI, Line 5: The majority of SVMC Holdings, Inc. dba St. Vincent's Medical Center's governing board is comprised of persons who either reside or work in its primary service area, and they are neither employees nor contractors of the Hospital.SVMC Holdings, Inc. dba St. Vincent's Medical Center extends medical staff privileges to all qualified physicians in its community. The Hospital has partnered with the City of Hartford Department of Health and Human Services and the Hispanic Health Center to provide health services to the underserved in the community. In addition, the Hospital participates in research projects with the Hispanic Health Council to improve community health and well-being.The Hospital has contracted to use the services of an organization to assist its patients in determining eligibility and applying for state and federal means-tested programs, as well as for the Hospital's Financial Assistance Program.As a tertiary health center, teaching hospital and Level 1 Trauma Center, SVMC Holdings, Inc. dba St. Vincent's Medical Center provides specialized services not available at other hospitals. These services are provided regardless of a patient's ability to pay. The hospital uses its surplus funds to provide additional benefits to its patients and the community it serves as detailed in Schedule O.
Part VI, Line 6: Hartford HealthCare Corporation (HHC) is organized as a support organization to govern, manage and provide support services to its affiliates. HHC, through its affiliates including Hartford Hospital, strives to improve health using the "Triple Aim" model: improving quality and experience of care; improving health of the population (population health) and reducing costs. HHC and its affiliates including all supported organizations, develop and implement programs to improve the future of health care in our Southern New England region. This includes initiatives to improve the quality and accessibility of health care; create efficiency on both our internal operations and the utilization of health care; and provide patients with the most technically advanced and compassionate coordinated care. In addition, HHC continues to take important steps toward achieving its vision of being "nationally respected for excellence in patient care and most trusted for personalized, coordinated care".The affiliation with HHC creates a strong, integrated health care delivery system with a full continuum of care across a broader geographic area. This allows small communities easy and expedient access to the more extensive and specialized services the larger hospitals are able to offer. This includes continuing education of health care professionals at all the affiliated institutions through the Center of Education, Simulation and Innovation located at Hartford Hospital.The affiliation further enhances the affiliates' abilities to support their missions, identity, and respective community roles. This is achieved through integrated planning and communication to meet the changing needs of the region. This includes responsible decision making and appropriate sharing of services, resources and technologies, as well as cost containment strategies.

The goal is to reduce food insecurity, provide nutritous meals and education about healthy eating. Name of Organization or Government: The Make-A-Wish Foundation of Connecticut (h) Purpose of Grant or Assistance: The Make-A-Wish Foundation of Connecticut grants the wishes of children with life-threatening medical conditions to enrich the human experience with hope, strength, and joy. It is the founding principle of their vision to grant the wish of every eligible child. For the children, just the act of making their wish come true can give them the courage to comply with their medical treatments and the parents might finally feel like they can be optimistic. Part I, Line 3 The Independent Executive Compensation Committee (Committee) of the Board of Directors of Hartford HealthCare on behalf of SVMC Holdings, Inc., hires an outside consultant, Human Resources and Compensation Consulting Practice of Gallagher, to determine best practices in governing executive compensation. Please refer to compensation narrative reported on Schedule O.
Part I, Line 4b Hartford Healthcare Corporation, a related organization, maintains a 457(f) Supplemental Executive Retirement Plan (SERP). Participants include certain officers and key employees at the President & CEO, Executive Vice President and Senior Vice President levels that are reported by SVMC Holdings, Inc. on its Form 990, Part VII. Contributions are made by Hartford HealthCare Corporation to the plan based on a percentage of the participant's compensation. Participants vest in the plan at the earlier of reaching age 55 and having 5 years of service, death, disability, involuntary separation without reasonable cause, upon reaching age 65 or the occurence of a change in control. Each participant ceases to be eligible for further contributions by Hartford HealthCare Corporation on the date of the participant's separation from service. Participants receive a one-time lump sum payment of the accumulated amount during the 30-day period following the participant's separation from service. 2020 SERP Accrual was made on behalf of the following individual: Michael Daglio $102,893 2020 SERP Payout was made on behalf of the following individual: Vincent DiBattista $248,914

Form 990, Part VI, Section A, line 6 SVMC Holdings, Inc. is organized as a non-stock not for profit entity. Hartford HealthCare Corporation is the sole member.
Form 990, Part VI, Section A, line 7a The sole member of the organization has the authority to approve/remove members of the governing body.
Form 990, Part VI, Section A, line 7b The sole member of the organization has the right to review, approve, disapprove and deny significant transactions such as mergers, acquisitions, dissolutions etc.
Form 990, Part VI, Section B, line 11b The Form 990 was prepared by Hartford HealthCare's Tax Department. It was then reviewed by an independent accounting firm. It was then forwarded to the organization's top management for review. The final Form was provided to the entire Board prior to submission to the Internal Revenue Services (IRS). Once the entire review process was completed, the Form was signed by the SVMC Holdings, Inc. President, and then filed with the IRS.
Form 990, Part VI, Section B, line 12c The hospital's board has adopted the policy of the member, Hartford HealthCare Corporation (HHC). HHC's Conflict of Interest Policy (Policy) requires all covered individuals, including board members and officers, to provide a disclosure of relationships that create or have the appearance of creating a conflict of interest or commitment. The Policy requires updates if changes in circumstances arise during the year that either (a) create a new potential conflict of interest or commitment or (b) change or eliminate a conflict of interest or commitment previously disclosed. Conflict of interest disclosure statements are maintained by the HHC Office of Compliance and Integrity (OCI). Employee disclosures are reviewed by OCI in collaboration with the Covered Individuals' supervisor when deemed appropriate, to determine if there is a potential conflict. Oversight review of employee disclosures is provided by the HHC Conflict of Interest Committee. The Conflict of Interest Committee assesses and may recommend the conflicting interest either be (a) eliminated for a continued relationship with HHC/HHC Affiliate, or, (b) managed through a management plan. Oversight review of physician disclosures is provided by the HHC Physician Conflict Resolution Committee. The Physician Conflict Resolution Committee assesses and may recommend the conflicting interest either be (a) eliminated for continued relationship with HHC/HHC Affiliate, or, (b) managed through a management plan. Board member disclosures are reported to the HHC Nominating and Governance Committee for determinations of conflicts and the management of them, where applicable.
Form 990, Part VI, Section B, line 15 The Independent Executive Compensation Committee (Committee) of the Board of Directors of Hartford HealthCare on behalf of SVMC Holdings, Inc., hires an outside consultant, Human Resources and Compensation Consulting Practice of Gallagher, to determine best practices in governing executive compensation. The following steps were taken: - The use of an Independent Executive Compensation Committee (Committee) of the Board of Directors of Hartford HealthCare, on behalf of Hartford Hospital, established and regularly reviews Executive Compensation Philosophy; - The Committee regularly reviews scope and depth of positions taking into account complexity and the financial impact and accountability of all "disqualified persons; - National peer groups are selected for comparative purposes based on organizational size, operating revenue, geography and other relevant factors; - Analysis of current total compensation versus market is performed by independent third party compensation consulting firm and is then reviewed by the committee; - Recommendations are made based on market data analysis to ensure appropriate competitive positioning within parameters of compensation philosophy; - The CEO compensation is reviewed by the Committee and is based on comparative market information and organizational performance; - All changes are reviewed and approved by the Executive Compensation Committee; The compensation determination process for the CEO is reviewed on an annual basis. All other executive compensation is regularly reviewed for scope and depth of positions taking into account complexity and the financial impact and accountability.
