Explanation

Part X, Line 2:

The Organization evaluates its uncertain tax positions and will recognize a loss contingency when it is probable that a liability has been incurred as of the date of the financial statements and the amount of the loss can be reasonably estimated. The amount recognized is subject to estimate and management judgment with respect to the likely outcome of each uncertain tax position. The amount that is ultimately sustained for an individual uncertain tax position or for all uncertain tax positions in the aggregate could differ from the amount recognized. As of December 31, 2021, management did not identify any uncertain tax positions.

Part I, Line 2:

TSP utilizes a media tracker and works with grantees on a regular basis to bring communications support to their climate justice work to understand the impact of our grants through all those means. TSP also works with a third-party program evaluator to learn from our grantees all the ways our grant dollars contribute to their success. In the grant renewal process, TSP confirms federal tax status, mission updates, program updates, and staff/board updates with each grantee.

Form 990, Part VI, Section B, line 11b	The Form 990 was provided to the board of directors for review and comment prior to filing.
Form 990, Part VI, Section B, line 12c	The conflict of interest policy is distributed annually to all directors and officers. Each director and officer must sign a statement that affirms that he or she has received a copy of the policy; has read and understood the policy and agrees to comply with the policy. The directors and officers are required to file annually a statement with the Board of Directors which discloses interests which could give rise to conflicts.
Form 990, Part VI, Section B, line 15	The Solutions Project Board's Executive Committee shall annually evaluate the President and CEO on his/her performance, and ask for his/her input on matters of performance and compensation. The Executive Committee will obtain research and information to make a recommendation to the full board for the compensation (salary and benefits) of the President and CEO (and other highly compensated employees or consultants) based on a review of comparability data. For example, the Executive Committee will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. This data may include the following: 1. Salary and benefit compensation studies by independent sources; 2. Written job offers for positions at similar organizations; 3. Documented telephone calls about similar positions at both nonprofit and for-profit organizations; and 4. Information obtained from the IRS Form 990 filings of similar organizations.
