| Form 990, Part VI, Section A, line 1a | The Executive Committee is composed of the President, Vice-President and Secretary/Treasurer of the Board. The Immediate Past President of the corporation, if a member of the Board, must also be a member of the committee. All members have voting rights. If the term of the Immediate Past President expires as a member of the Board, the current President will appoint another person to the Committee. The Executive Committee has and will exercise Administrative authority over the operation of the corporation, its facilities and its personnel between Board meetings. For this purpose, the Executive Committee has all the powers and duties of the Board in the interim between Board meetings, except as limited by the Bylaws or by the specific instructions of the Board. The Executive Committee does not have the power to remove from office members of the Executive Committee or any officer elected by the Board.
