| GENERAL STATEMENT REGARDING THE IMPACT OF COVID-19: | IN EARLY 2020, AN OUTBREAK OF A NOVEL STRAIN OF CORONAVIRUS ("COVID-19") EMERGED GLOBALLY. AS A RESULT, EVENTS HAVE OCCURRED, INCLUDING MANDATES FROM FEDERAL, STATE AND LOCAL AUTHORITIES, LEADING TO AN OVERALL DECLINE IN ECONOMIC ACTIVITY. ACM IS CLOSELY MONITORING ITS INVESTMENT PORTFOLIO AND ITS LIQUIDITY AND IS ACTIVELY WORKING TO MINIMIZE THE IMPACT OF THESE DECLINES. THE EXTENT OF THE IMPACT OF COVID-19 ON ACM'S OPERATIONAL AND FINANCIAL PERFORMANCE WILL DEPEND ON CERTAIN DEVELOPMENTS, INCLUDING THE DURATION AND SPREAD OF THE OUTBREAK AND ITS IMPACTS ON ACM'S MEMBERS, EMPLOYEES, AND VENDORS, ALL OF WHICH AT PRESENT, CANNOT BE DETERMINED. AS A RESULT OF THE PANDEMIC, SEVERAL IN-PERSON CONFERENCES THAT WERE ORIGINALLY SCHEDULED TO TAKE PLACE DURING THE YEAR ENDED JUNE 30, 2021 WERE CANCELLED OR TRANSITIONED TO VIRTUAL EVENTS. THE IMPACT OF THE PANDEMIC CONTINUES TO CREATE UNCERTAINTY ABOUT THE FUTURE ECONOMIC OUTLOOK AND POSES A SIGNIFICANT CHALLENGE TO CONFERENCE ACTIVITIES IN 2022 DUE TO EVENT CANCELLATIONS. IN FISCAL YEAR 2020, THE ASSOCIATION RECEIVED LOAN PROCEEDS IN THE AMOUNT OF $1,456,657 UNDER THE PAYCHECK PROTECTION PROGRAM ("PPP"). ESTABLISHED AS PART OF THE CORONAVIRUS AID, RELIEF, AND ECONOMIC SECURITY ACT, THE PPP PROVIDES FOR LOANS TO QUALIFYING BUSINESSES IN AMOUNTS UP TO 2.5 TIMES THE BUSINESS'S AVERAGE MONTHLY PAYROLL EXPENSES. PPP LOANS AND ACCRUED INTEREST ARE FORGIVABLE AFTER A "COVERED PERIOD" (EIGHT OR 24 WEEKS) AS LONG AS THE BORROWER MAINTAINS ITS PAYROLL LEVELS AND USES THE LOAN PROCEEDS FOR ELIGIBLE PURPOSES, INCLUDING PAYROLL, BENEFITS, RENT, AND UTILITIES. DURING THE FISCAL YEAR ENDED JUNE 30, 2021, THE ASSOCIATION WAS GRANTED FORGIVENESS AND LEGALLY RELEASED FROM ITS PPP LOAN OBLIGATION. ACCORDINGLY, ACM RECOGNIZED $1,456,657 OF LOAN FORGIVENESS INCOME IN THE YEAR ENDED JUNE 30, 2021. |
