(b) Within the scope of the foregoing purposes, to have and to exercise any and all powers conferred by the laws of the State of California upon non-profit corporations and upon mutual water companies formed under the laws pursuant to and under which this corporation is formed, as such laws are now in effect or may at any time hereafter be amended."

Vegetation Management Project from July 2021 through December 2022. Sonoma County awarded a grant of $106,460 for efforts to reduce fire fuel in our neighborhood. We hired contractors to clear brush and trees away from roads in Wilshire Heights, the Heights neighborhood, and adjacent residents on independent wells who share the same roadways. Cookson Construction cut down trees and large vegetation in the summer of 2021, while the Circuit Riders Community Services weedwhacked, mulched and removed debris in July 2021 and 2022. In addition, we joined the Riebli Wallace Firewise Neighborhood, attending educational bi-monthly meetings and encouraging individual efforts to fire harden homes and join emergency alert network. The unused amount of the grant, $4,682 will be returned to Sonoma County.

FEMA reimbursement for already paid expenses from 2017 through 2019 to rebuild water distribution system after the Tubbs Fire in 2017. $73,000 was a partial payment of relief aid; we are still trying to close out the grant and collect remainder of qualified expenses. There were zero expenses in FY2021.

Our primary purpose, but with the smallest revenue and not fire related, is the distribution of water to 41 residents/shareholders. Collection of water service fees for the fiscal year totaled $20,942 and expenses to provide water, including certified water operator to advise, laboratory fees, electricity, repairs and maintenance of equipment, totalled $18,842. Not all 41 shareholders have rebuilt homes since the fire so not all are paying the full water service fee. Vacant properties currently pay a reduced maintenance fee to cover fixed costs of the water company.

Form 990, Part III, Line 2 Our mission is to provide well water to our community. However, the Tubbs Fire in 2017 wiped out all our above-ground equipment and all shareholder homes (except for one with partial damage). Because of the fire, we rebuilt our water system and sought federal aid from FEMA. This last year, we also undertook to make our community safer in the event of another wildfire. The Vegetation Management Project with a grant from Sonoma County was a departure from our usual activities, but reducing vegetation to safeguard our facilities and our homes is a necessary consequence of being in a wildfire zone. Our principle purpose remains distribution of water to our shareholders.
Form 990, Part VI, Section A, Line 6 Each resident or property owner in the Wilshire Heights neighborhood is issued a certificate of membership and considered a shareholder in the mutual water company.
Form 990, Part VI, Section A, Line 7a The three officers are elected at the annual shareholders' meeting by the shareholders.
Form 990, Part VI, Section A, Line 7b The by-laws don't specify which issues should be voted upon by the shareholders; however, if an issue is important or a change in the way the company is run such as new water rates, installation of meters, or changes to the by-laws, then the shareholders will vote on the issue at the annual shareholders' meeting. Ordinary repair and maintenance issues are usually decided by the three officers.
Form 990, Part VI, Section A, Line 8a Extensive minutes are written for the annual shareholders' meeting. For maintenance decisions by the officers and communications among the officers to operate the equipment, there is no formal record. There are reports of activities and operations to shareholders at the annual meeting and occasional email updates to inform shareholders of any changes or new activities.
Form 990, Part VI, Section A, Line 8b We have no committees presently. Ordinarily, the committee chair would present a report on the progress or findings of the committee at the annual shareholders' meeting, but no formal minutes are created. However, notes of actions required are retained.
Form 990, Part VI, Section B, Line 11b The Secretary/Treasurer uses the checkbook, receipts, and annual financial statements to determine revenues and expenses. Ordinarily, our company files a 990N and our gross proceeds are less than $50,000 per year. This year, we acted as a sponsor of the Vegetation Management Grant from the county and received a grant that bumped our income. We also received a FEMA aid grant to reimburse some of our expenses to replace and repair the water distribution equipment that was destroyed in the Tubbs Fire of 2017. We expect to have income less than $50,000 next year, but will need to file the 990EZ most likely for the next two years. The officers will be given a copy of the current filing.
