God gives us the responsibility to carry out his mission of healing and to promote the well-being of our employees and our community.

Line Part V, Section B, Line 2 Effective, April 1, 2021, Wheeling Hospital, Inc and its subsidiaries became members of the West Virginia United Health System WVUHS or the System. WVUHS is a not-for-profit corporation formed to serve as part of an integrated health science and healthcare delivery system. WVUHS serves as the parent corporation to an affiliated group of healthcare providing entities. The strategic plan of the System states intent to build a regional health care delivery system in its service areas, while offering a variety of options for providers who want to participate. The System maintains a demonstrated commitment to assist rural communities in preserving and improving the health care available to the patients it serves.
Group Wheeling Hospital, Inc. Line Part V, Section B, Line 5 Input was solicited from those representing the broad interests of the community from August and September 2019. Individual interview discussions included the health needs of the community, barriers to health care access, opportunities for improvement, perception of Wheeling Hospital, Inc., and feedback on previous initiatives. The following organizations were consulted by the Hospital in conducting its most recent CHNA Ohio County Health Department, Belmont Behavioral Health Rehab, Continuous Care Center Wheeling Hospital, Wheeling Health Right, WV DHHR, Wheeling Corporate Health, Wheeling Hospital Family Medicine.
Group Wheeling Hospital, Inc. Line Part V, Section B, Line 6a The CHNA for Wheeling Hospital, Inc. and Belmont Community Hospital, a related party, were conducted simultaneously, but separate reports were issued for each hospital.
Group Wheeling Hospital, Inc. Line Part V, Section B, Line 11 The community health needs assessment CHNA issued in September 2019 identified the same three community health priorities that were identified in the 2016 CHNA. These are identified below in the community health priorities summary taken from the September 2019 CHNA. Progress on these identified health priorities in FY 09/30/21 was severely limited due to the continuation of the COVID-19 pandemic. In addition, the house has experienced several consecutive years of operating losses. As a result, very limited resources were available to allocate to the identified community health needs. During the 3 month period ending December 31, 2021, the hospital continued to provide health fairs, smoking cessation classes, proper nutrition classes and physical activity seminars to the residents of the hospitals service area.
Group Wheeling Hospital, Inc. Line Part V, Section B, Line 11 Community health priorities - The results of the CHNA will enable the Hospital as well as other community providers to collaborate their efforts to provide the necessary resources for the community. After reviewing data sources providing demographic, population, socioeconomic, and health status information in addition to community feedback, health needs of the community were prioritized. The following community health issues were identified in the prior CHNA of the Hospital and these issues have been selected again as the priority health issues to be addressed 1. Chronic disease management, 2. Unhealthy lifestyles, 3. Drug and alcohol abuse.
Group Wheeling Hospital, Inc. Line Part V, Section B, Line 11 Chronic disease management - Priority conditions include obesity and diabetes. Obesity and unhealthy eating and activity habits give individuals a higher risk for liver and gallbladder disease, type 2 diabetes, high blood pressure, high cholesterol and triglycerides, coronary artery disease CAD, stroke, sleep apnea and respiratory problems, osteoarthritis, and gynecological problems, among other conditions. Children who are obese are at risk for many of the same long-term health problems. If you have healthier habits or lose weight, your risk for these conditions is reduced. The hospital will continue to provide outreach and education to the residents of Wheeling, West Virginia and the surrounding communities. The Hospital will continue to provide diabetic and weight loss education to the community and hold health fairs to provide low cost preventive and educational services to the community. Wheeling Hospital, Inc., has continued its tradition of providing outreach and education to the residents of Wheeling, West Virginia and surrounding communities regarding the causes of chronic disease, preventative measures and treatment. During the year ending 12/31/21, approximately XXXXXXX area residents participated in health fairs conducted by Wheeling Hospital, Inc. During the year ending 12/31/21, approximately XXXXX residents participated in similar hospital sponsored health fairs. The health fairs provided diabetes screenings and education, blood pressure monitoring, cholesterol screening as well as education on breast and bone health.
Group Wheeling Hospital, Inc. Line Part V, Section B, Line 11 Unhealthy lifestyles - Unhealthy lifestyle choices contribute to other health conditions. Smoking, poor nutrition, and physical inactivity are prevalent among residents in the service area. Tobacco is the leading cause of preventable illness and death in the United States. It causes many different cancers as well as chronic lung diseases, such as emphysema, bronchitis, and heart disease. Community culture, lack of health care coverage, and low income can lead to unhealthy lifestyle choices. The Hospital will continue to provide outreach and education for smoking cessation, proper nutrition and the importance of physical activity. In addition, the Hospital will continue to assist with health and wellness programs and provide the necessary resources for those seeking a healthy lifestyle through diet and exercise. Wheeling Hospital, Inc., provided outreach and education for smoking cessation, proper nutrition and the importance of physical activity to approximately XXXXX community members during October - December 2021. XXXX community members participated in health lifestyle programs during October - December 2021. Particular attention was given to health wellness education for the older adults in the community, given the aging population in the Wheeling Hospital, Inc. service area. The Hospital will continue to assist with health and wellness programs and provide the necessary resources for those seeking a healthy lifestyle through diet and exercise.
Group Wheeling Hospital, Inc. Line Part V, Section B, Line 11 Drug and alcohol abuse - Abuse of alcohol and illicit drugs is costly to our nation, exacting over 400 billion annually in costs. The toll that drug and alcohol problems have on individuals is significant, as they are at increased risk for serious health problems, criminal activity, automobile crashes, and lost productivity in the workplace. But individuals with drug and alcohol problems are not the only ones who suffer. The families, friends and communities also suffer greatly. The abuse of alcohol and drugs leads to multiple acute and chronic adverse health outcomes, as well as a variety of negative consequences within the family unit, poor performance in school, or difficulties at work. Alcohol abuse leads to decreased inhibitions and impaired judgements that influence reckless and sometimes aggressive behavior. It also leads to high rates of motor vehicle accidents and injuries/deaths. On a chronic basis, it can lead to anemia, hepatitis and cirrhosis, pancreatitis, cognitive effects due to brain damage, fetal alcohol syndrome, low birthweight, and other poor health outcomes. Substance abuse problems commonly occur in conjunction with mental health issues. Illicit drug use was a recurring issue of concern in many of our interviews with community members. The problems of substance abuse involve three levels of intervention prevention, screening, and detection. These three opportunities require determined, collaborative action involving public health, education, health care, and criminal justice systems at the community level. The Hospital will maintain its collaboration and referral network to address patients needs with regards to addiction and abuse. The Hospital will continue to provide outreach and education to the residents of Wheeling and the surrounding communities. Additionally, Wheeling Hospital, Inc., will engage with local law enforcement and other community agencies in initiatives aimed at addressing the opioid epidemic that is currently ravaging the Ohio Valley.
Group Wheeling Hospital, Inc. Line Part V, Section B, Line 13b Wheeling Hospital, Inc. offers discounted care only to individuals who qualify for free care. Wheeling Hospital, Inc., offers a Prompt-Pay Discount Program - patients who have no third party coverage uninsured or uninsurable may be eligible for a 50 self-pay discount while patients who have a guarantor balance may be eligible for a 20 discount. To be eligible for either prompt pay discount, the patient/guarantor must meet certain requirements.
Group Wheeling Hospital, Inc. Line Part V, Section B, Line 24 All patients are charged an amount equal to gross charges regardless of payment method. Form and Line Reference Explanation
Part I Line 3c Wheeling Hospital, Inc. uses 200 Federal Poverty Guidelines FPG to determine free care eligibility. However, Wheeling Hospital, Inc., does not offer discounted care to individuals who fail the 200 FPG test.
Part I Line 6a Wheeling Hospital, Inc., community benefit numbers are reported in total with other hospitals within the West Virginia United Health System. The most recent amounts can be found on WVU Medicines website here https//wvumedicine.org/about/leadership-and-more/community-benefit/
Part I Line 7 Total community benefit expense for October - December 2021 is 18,311,110 and is 16.318 of total net expenses. To calculate net expense, bad debt of 4,706,907 was deducted from total expenses of 116,949,044 as shown in Part IX line of the core Form 990, for a net expense of 112,242,137.
Part I Line 7 Worksheet 2 from the IRS Schedule H instructions was used to derive the Cost-to-Charge ratio, which was used to calculate Charity Care, Unreimbursed Medicaid and other means-tested government programs at cost.
Part II The Hospital established rapid testing locations to screen members of the community for COVID-19. The locations were the only sites available during the early stages of the outbreak where the public could be screened for COVID-19.
Part II Wheeling offers two types of transportation services at no cost to patients allowing patients without transportation a way to get to and from physician and hospital appointments. During the short year period 285 participants utilized a courtesy van service and 385 participants received other transportation services.
Part II Wheelng Hospital also offfers, Lifeline, a communication device for elderly within their service area.
Part III Line 2 Bad debt expense at cost was calculated by multiplying bad debt expense of 4,706,907 by our cost to charge ratio of 35.82 for a total of 1,686,014.
Part III Line 3 Estimated bad debt attributable to patients eligible for charity care was calculated by running a report within our patient revenue software of all bad debt account balances greater than 25,000. The total of that report was 580,158, which we then multiplied by our cost to charge ratio of 35.82 for a total of 207,813.
Part III Line 3 The estimated bad debt attributable to patients eligible for charity care of 207,813 should be considered community benefit due to the fact that anyone with outstanding balances of 25,000 or greater usually qualifies as catastrophic if the patient completes the application process.
Part III Line 3 In our charity care policy, we define catastrophic care as any illness or injury that will likely require continuous or frequent treatment for more than one year. Regardless, that bad debt should be considered community benefit as we provide services to those in need regardless of their ability to pay.
Part III Line 4 Wheeling Hospital, Inc.s financial statements are prepared on a consolidated basis as a member of the WV United Health System. The footnote for Accounts Receivable is as follows Patient accounts receivable are reported at net realizable value. For accounts receivable associated with services provided to patients who have third-party coverage, the System estimates net realizable value based on the estimated contractual reimbursement percentage, which in turn is based on current contract provisions and historical paid claims by payor. For self-pay accounts, including uninsured and patient responsibility accounts, the net realizable value is determined using historical collection experience, adjusted for estimated conversions of patient responsibility portions, expected recoveries and changes in trends to estimate implicit price concessions. Management continually reviews the estimated net realizable value of accounts receivable by monitoring cash collections, economic conditions and trends, changes in payor mix, changes in federal or state healthcare coverage and other matters.
Part III Line 4 The System grants credit without collateral to its patients, most of whom are local residents, and are insured under third-party payor agreements, primarily with Medicare, Medicaid and various commercial insurance companies. The System records accounts receivable net of estimated prince concessions and such amounts have historically been within managements expectations.
Part III Line 4 The mix of accounts receivable at December 31, 2021 and 2020, from patients and third-party payors is as follows For the year-end December 31, 2021 Medicare - 31, Medicaid - 16, Blue Cross - 21, Commercial, managed care and other - 28, Patients - 4, totaling 100. For the year-end December 31, 2020, Medicare - 29, Medicaid - 17, Blue Cross - 21, Commercial, managed care and other - 28, Patients - 5, totaling 100.
Part III Line 8 The amount reported in Part III Line 6 60,170,288 was calculated using the total Medicare allowable cost from the Medicare cost report, less Medicare reimbursement of direct GME.
Part III Line 8 Wheeling Hospital, Inc.s shortfall, 15,070,228 of Medicare program reimbursement should be considered a community benefit because we are relieving a government burden by providing care in excess of our costs to these patients.
Part III Line 9b Wheeling Hospital, Inc., does have a debt collection policy. When a patient has been approved for financial assistance under our charity care policy, they will not be sent to bad debt. Additionally, if a patient is being evaluated for charity, the patient will not be sent to bad debt agency pending charity guarantor status until the pending status has been finalized approved/denied. All other patients with outstanding balances will be processed through billing and collections pursuant to our Financial Policy.
Part VI Line 2 Wheeling Hosptial, Inc. is continuously evaluating and assessing community needs that may arise outside of the CHNA. The implementation plan for the CHNA is re-evaluated yearly to determine the optimal response to the up-to-date needs that occur since the date of the last report and how the resources of the Hospital can best be used for the greater good of the surrounding area. Additionally, each department of the Hospital that conducts community abeyance programs is surveyed yearly in regard to the effectiveness of current programs in place and the best way to respond to new issues that have arisen since the last survey. The results are evaluated in regard to how best to deploy hospital resources to meet these objectives.
Part VI Line 3 Wheeling Hospital, Inc. employs financial counselors to meet with patients and discuss eligibility to qualify for charity care. Wheeling Hospital, Inc., provides brochures discussing charity care and the qualifications for receiving charity care. These brochures are available at each registration area in the facility. Wheeling Hospital, Inc., provides financial assistance to patients who do not qualify for any state or federal programs.
Part VI Line 3 Our charity care eligibility guidelines are also listed on our website at www.wvumedicine.org under the Billing and Insurance - Online Bill Pay section of the Patient and Visitor page. Wheeling Hospital, Inc. also has contracted a third party organization to be on-site to help patients that qualify for charity care, Medicaid, or other types of financial assistance, complete the required applications and provide the correct documentation to receive these benefits.
Part VI Line 4 Wheeling Hospital, Inc. predominantly services the Wheeling metropolitan statistical area. The primary service area includes one county in the northern panhandle of West Virginia Ohio County and one county in Ohio Belmont County, with a total population of approximately 107,625.
Part VI Line 4 The median household income for 2020 was approximately 48,056 with a poverty rate of 18.1. This population and demographic information was obtained from the United State Census Bureau https//data.census.gov/cedsci/.
Part VI Line 5 A majority of the Hospitals board members are residents of the primary service area and are neither employees nor contractors of the Hospital. In addition, the Hospital extends medical staff privleges to any qualified physician in the community.
Part VI Line 6 Wheeling Hospital, Inc. The Hospital or Wheeling Hospital was created by an act of the Virginia General Assembly in 1850. Currently, the Hospital operates and exists under the laws of West Virginia as a not-for-profit corporation. In 2021, Wheeling Hospital, Inc. become a member of the West Virginia United Health System WVUHS. WVUHS is a not-for-profit corporation formed to serve as part of an integrated health science and healthcare delivery system. WVUHS serves as the parent corporation to an affiliated group of healthcare providing entities. The strategic plan of the System states intent to build a regional health care delivery system in its service areas, while offering a variety of options for providers who want to participate. The System maintains a demonstrated commitment to assist rural communities in preserving and improving the health care available to the patients it serves.
Part VI Line 6 System management is focused on recruitment of staff and employees to meet the growing needs of the aging population in the Systems service areas. Other hospitals in the System include West Virginia University Hospitals in Morgantown, WV, United Hospital Center in Bridgeport, WV, Camden-Clark Memorial Hospital in Parkersburg, WV, City Hospital, Inc. in Martinsburg, WV, Jefferson Memorial Hospital in Ranson, WV, Potomac Valley Hospital in Keyser, WV, St. Josephs Hospital of Buckhannon, Inc. in Buckhannon, WV, Reynolds Memorial Hospital in Glen Dale, WV, West Virginia Health Care Cooperative, doing business as, Summersville Regional Medical Center in Summersville, WV, Braxton County Memorial Hospital in Gassaway, WV, Community Health Association, doing business as, Jackson General Hospital in Ripley, WV, Wetzel County Hospital in New Martinsville, Harrison Community Hospital in Cadiz, OH, Uniontown Hospital in Uniontown, PA, and Barnesville Hospital Association in Barnesville, OH.

Form 990, Part VI, Section A, Line 3 Douglass Harrison, Chief Executive Officer of Wheeling Hospital, Inc., is not an employee of Wheeling Hospital, Inc. Mr. Harrison is an employee of WVU Healthcare with which Wheeling Hospital, Inc. entered into a management agreement in 2019. For his role as CEO of Wheeling Hospital, Inc. Douglass Harrison is compensated 845,214 by WVU Healthcare.
Form 990, Part VI, Section A, Line 4 Effective April 1, 2021, West Virginia United Health System became the sole member of Wheeling Hospital, Inc. updated Articles of Organization were filed with the West Virginia Secretary of State to publicly record this change.
Form 990, Part VI, Section B, Line 11B The 990 is prepared by the West Virgnia United Health System Tax Team with inforamtion provided by the hospital. The 990 is reviewed by Accounting leadership and the CFO, once that review is complete the 990 is presented to the Finance Committee by the WVUHS Manager of Tax Services, once it has been reviewed by the committee it is provided to the Board of Directors prior to filing with the IRS.
Form 990, Part VI, Section B, Line 12C All members of the board of directors and officers receive a copy of the conflict of interest policy annually. Recipients are annually asked to acknowledge they have read the policy, identify any areas of conflict and return the signed disclosure form to Wheeling Hospital, Inc. Responses are reviewed and indentified. Conflicts are referred to the board of directors for discussion and approval. Key employees and other employees are required to complete a conflict of interest questionaire at hiring and when a change occurs that may be a conflict of interest.
Form 990, Part VI, Section B, Line 15 Douglass Harrison, Chief Executive Officer of Wheeling Hospital, Inc., is not an employee of Wheeling Hospital, Inc. Mr. Harrison is an employee of WVU Healthcare. Wheeling Hospital, Inc. entered into a management agreement with WVU Healthcare in 2019, resulting in the hiring of Mr. Harrison as the CEO. His compensation is determined and paid through WVU Healthcare. Other officers and key employees compensation is reviewed by the Wheeling Hospital ad hoc committee. The committee reviews national, regional, and local compensation surveys. Additionally, years of service are also taken into account.
Form 990, Part VI, Section c, Line 19 Governing documents, conflict of interest policy, and financial statements are available upon request. Wheeling Hospital, Inc. also files the financial statements with WVHCA annually.
Form 990, Part XI, Line 9 Changes in net assets include 773,645 of purchase price revaluations, 3,717,226 of related organization capitalization, 65,447 dividend from MFLTD, 215,290 Auxiliary Net Assets, 376,122 change in temporary restricted net assets, 2,800,000 contribution from the Diocese recorded as a net asset instead of contribution revenue and 5 rounding.
Form 990, Part XII, Line 3a Wheeling Hospital, Inc. entered into a HUD/FHA Section 242 mortgage insurance agreement and was required by this agreement to undergo an A-133 audit.
Form 990, Part IV, Section 5471, Line 14a, b, and c For the taxable year covered by the income tax return of Wheeling Hospital Inc. the Filer, the Filer is required to file an Internal Revenue Service Form 5471 the Return with respect to Mountaineer Freedom, Ltd. FEIN 98-1217988 the Foreign Corporation. However, consistent with Treasury Regulation Section 1.6038-2j1, the Filer has determined that another party, West Virginia University Health System Inc., as noted below the Joint Filer, is also required to furnish information with respect to the Foreign Corporation for the same period. The Filer, along with the Joint Filer, intend to, in lieu of making separate Returns, jointly make one Return. Such Joint Return shall be filed with the income tax return of the Joint Filer as noted - Foreign Corporation Name Mountaineer Freedom, Ltd, Address P.O. Box 69, Grand Cayman, KY1-1102, Cayman Islands, Identifying Number 98-1217988. Moreover, in accordance with Treasury Regulation Section 1.6038-2j3, the Filer is filing this Statement for purposes of satisfying its compliance requirements in connection with the Return and reporting the following information of the Joint Filer - Name West Virginia University Health System Inc, Address P.O. Box 8034, Morgantown, WV 26505, Identifying Number of U.S. Taxpayer with which Form 5471 was filed 55-0754713, IRS Service Center where U.S. tax return was or will be filed TBD based on the filing of WVUHS.
