Explanation:

The late filing was not intentional and did not have egregious intent. The Chapter underwent a change in management that also resulted in changes in duties and responsibilities. The new management has resulted in increased chapter oversight and processes have been put in place to ensure that 990 filings are current and on-time in the future.
