    Explanation:
THE MORGENSTERN-DAVIS FAMILY FOUNDATION IS A SMALL NONPROFIT ORGANIZATION THAT IS MANAGED BY HUSBAND AND WIFE, EACH OF WHOM IS ELDERLY AND HAVE HEALTH ISSUES. THEY TIMELY FILED THE FOUNDATION'S 2021 FORM 990-PF IN PAPER FORM AS THEY HAD DONE IN PREVIOUS YEARS. PRIOR TO THEIR RECEIPT OF A JANUARY 26, 2023 LETTER FROM IRS THEY WERE COMPLETELY UNAWARE THAT SUCH INFORMATION RETURN IS NOW REQUIRED TO BE FILED ELECTRONICALLY. THEY NEVER RECEIVE ANY PREVIOUS NOTICE OR OTHER CORRESPONDENCE FROM IRS OR ANY OTHER SOURCE CONCERNING THE NEW REQUIREMENT. MOREOVER, THE TAX PREPARATION PROGRAM UTILIZED FOR THE 2021 RETURN EXPLICITLY ADVISED THAT THE RETURN DID NOT QUALIFY FOR ELECTRONIC FILING BECAUSE SPECIFIC DATES OF PURCHASE WERE NOT ENTERED WITH RESPECT TO A NUMBER OF SECURITIES THAT WERE REPORTED ON THE RETURN AS SOLD IN 2021. THE REASON FOR THAT IS THE FORM 1099-B RECEIVED FROM THE BROKERAGE FIRM WHICH SOLD THE SECURITIES FOR THE FOUNDATION REFLECTED "VARIOUS" FOR DATES OF PURCHASE INSTEAD OF THE ACTUAL PURCHASE DATES WHICH WOULD HAVE QUALIFIED THE RETURN FOR ELECTRONIC FILING. THAT ISSUE HAS NOW BEEN RECTIFIED IN THIS FORM 990-PF WHICH IS BEING PROMPTLY ELECTRONICALLY FILED JUST A FEW DAYS AFTER THE FOUNDATION MANAGERS WERE INFORMED BY IRS OF THE NEW REQUIREMENT. IT IS SUBMITTED THAT UNDER THE CIRCUMSTANCES THE FAILURE TO ELECTRONICALLY FILE THE 2021 RETURN BY THE ORIGINAL DUE DATE OF MAY 15, 2022, WAS DUE TO REASONABLE CAUSE AND NOT DUE TO ANY WILLFUL DISREGARD OR NEGLECT OF RULES AND REGULATIONS BY THE FOUNDATION, AND THAT THEREFORE IT IS RESPECTFULLY REQUESTED THAT NO PENALTY BE IMPOSED FOR THE DELAYED ELECTRONIC FILING.
