| Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts | Board members complete a Conflict of Interest Disclosure annually. At the start of each meeting, members are asked if any conflicts exist based on agenda items presented. Should a conflict arise, the member must refrain from voting or attempting to influence the matter at hand unless the Board feels the member has information which may assist the Board with the matter. In this case, the member may be asked to state his/her position and answer any pertinent questions. If the conflict is unclear, the member will leave the meeting while the others determine whether a conflict exists. If the Board perceives a member has failed to disclose an actual or potential conflict, the Board will give the member an opportunity to explain the failure to disclose. Upon hearing the response, the Board will take appropriate disciplinary action which may lead to dismissal from the Board or employment termination. |
