    FORM 990-PF WAS NOT FILED ON TIME FOR REASONABLE CAUSE DUE TO COVID-19. THE COVID-19 PANDEMIC IMPACTED ALL ASPECTS OF LIFE AND CREATED MANY UNCERTAINTIES AND CHALLENGES. ALTHOUGH WE EXERCISED ORDINARY BUSINESS CARE AND PRUDENCE AND MADE A GOOD-FAITH EFFORT TO MEET OUR TAX DEADLINES, WE WERE UNABLE TO DO SO DUE TO COVID-19 IMPACTS. OUR CHIEF FINANCIAL OFFICER WHO WAS RESPONSIBLE FOR FILING TAX RETURNS BECAME SICK WITH COVID-19 IN MID-NOVEMBER 2022, JUST PRIOR TO THE NOVEMBER 15 FILING DEADLINE AND WAS UNABLE TO TEND TO COMPANY BUSINESS. THE CFO FILED FORM 990-PF WITH THE IRS AS SOON AS PRACTICAL AFTER RECOVERING FROM COVID-19. THE IRS RECEIVED THE ORIGINAL PAPER TAX FILING ON NOVEMBER 29, 2022. COVID-19 CHALLENGES MEET THE IRS'S REASONABLE CAUSE STANDARD BECAUSE ACCORDING TO IRM 20.1.1.3.2, REASONABLE CAUSE, THE IRS PROVIDES RELIEF FROM A PENALTY BASED ON REASONABLE CAUSE WHEN THE TAXPAYER EXERCISED ORDINARY BUSINESS CARE AND PRUDENCE IN DETERMINING HIS OR HER TAX OBLIGATIONS BUT WAS NEVERTHELESS UNABLE TO COMPLY WITH THOSE OBLIGATIONS. WE DID NOT FILE FORM 990-PF ON TIME ELECTRONICALLY BECAUSE WE ATTEMPTED MULTIPLE TIMES TO PAPER FILE. THE IRS RETURNED OUR PAPER-FILED RETURNS MULTIPLE TIMES TO US. WE BELIEVE WE MEET THE REASONABLE CAUSE REQUIREMENTS FOR LATE FILING FOR THE FOLLOWING REASONS: WE RELIED ON INSTRUCTIONS PROVIDED IN THE 2019 VERSION OF THE IRS INSTRUCTIONS TO FORM 990-PF THAT STATED IF FORM 990-PF WAS FILED AFTER JULY 19, 2019 AND YOU ARE A FOUNDATION IN A 60-MONTH TERMINATION UNDER SECTION 507(B)(1)(B) AND YOU CHECK THE BOX IN ITEM F, THAT A PAPER FILING WAS NEEDED IN ORDER FOR THE IRS TO RECEIVE FORM 872-B, CONSENT TO EXTEND THE TIME TO ASSESS MISCELLANEOUS EXCISE TAXES. WE DID NOT REALIZE THAT THE PAPER FILING EXCEPTION FOR 2020 AND LATER YEARS WAS REMOVED AS THERE ARE MANY PAGES TO THE INSTRUCTIONS. WE HAD DIFFICULTLY CREATING AN ELECTRONIC FILE TO SEND TO THE IRS. ONCE WE FIGURED OUT THE NUANCES OF PREPARING THE ELECTRONIC FILE, WE PROMPTLY FILED ELECTRONICALLY.
