Form 990, Part VI, Section A, line 6	Under the bylaws, Southern Gas Association Gas Machinery Research Council (The "Council") has two classes of members: Full members, who are entitled to vote, and associate members, who are not entitled to vote.
Form 990, Part VI, Section A, line 7a	The Board of Directors of the Council consists of a minimum of 9 and a maximum of 14 voting Directors. The full members of the Council elect at least four Directors. The Board of Directors of Southern Gas Association (a related organization) may elect four Directors, and the President of Southern Gas Association serves automatically as President and a Director of the Council. The Past Chairman of the Council's Board of Directors also automatically serves as a voting member on the Council's Board. Accordingly, based on the nature of the rights described above and below, the members of the Council and Southern Gas Association are considered members for the purposes of Form 990, Part VI.
