Explanation:
Explanation of "reasonable cause" for failing to file electronically on or before the due date: Form 990-EZ was mailed to the IRS prior to the extended due date for the filing of the entity's return for the year ended September 30, 2021. The circumstances resulting in the entity failing to file electronically on or before the extended due date are as follows: 1. As a result of COVID-19 and a restructuring of minor league baseball. the Southern League has not had historically normal activity since 2019. The entity is in the process of winding up its affairs and moving toward liquidation and dissolution. 2.The CPA who had previously prepared and filed Form990-EZ retired at the end of 2021 due to serious health issues. The return for the year ended September 30, 2021 was prepared internally. 3. Neither the entity nor the preparer were aware of the new electronic filing requirements that became effective after July 31, 2021. The return for the year ended September 30, 2021 was required to be filed on a 2020 Form 990-EZ. Unfortunately, the IRS instructions for 2020 Form 990-EZ used to prepare the return do not reflect the new electronic filing requirements but provide the IRS mailing address. 4. The original return has now been transferred to a provider able to file electronically and future filings will be done electronically. 5. The offices where the entity's mail is received were closed from December 16, 2022 until January 3, 2023 and it has taken additional time to prepare for electronic filing and respond to IRS Letter Number LTR2695C dated December 23, 2022 notifying the entity that electronic filing was required . Based on these circumstances, the Southern League respectfully requests a finding of "reasonable cause" for failing to file on of before the due date and that no penalties be assessed.
