| Form 990-EZ, Part V, Line 34 | Bylaws OFF-KENDRIK ARTICLE 1: NAME AND PRINCIPAL OFFICE The name of this association shall be OFF-KENDRIK, INC. (hereinafter referred to as "the Association"), and its principal office is to be located in 106 Burt Street, Norton, 02766, Bristol County, State of Massachusetts. The Association is a voluntary, incorporated, non-profit cultural organization. ARTICLE 2: MISSION The Association aims to: Section 1. Promote the national heritage and identity of Indian-Americans in the community via theatrical and similar cultural performances in settings devoted solely to theater and other performing arts. Section 2: Represent the voices of the south Asian community through theater and create an awareness of this community in the larger American society. One of the goals is to involve the youth from the community and offer them a platform for self-expression through the performance arts. Section 3: Forge partnership with similar theater entities in the US and India to contribute to a financial support network for theater workers in India. ARTICLE 3: ORGANIZATION AND MANAGEMEN Organizational Structure: The overall organizational structure of the Association shall consist of an external Advisory Board, an Artistic Director, and volunteers. The Advisory Board shall consist of external stakeholders who would augment the reputation of the Association within the South Asian diasporic community and help in securing grants. The Artistic Director shall primarily be responsible for charting the course of performances as they are planned annually. Volunteers are people who want to help with the mission of the Association. They shall be part of a working committee, depending on their interests and availability. Accountant (s) and Event Coordinator (s) are two volunteer positions that must exist at all times. In addition, the Association shall be open to all theater enthusiasts in the community to participate in various play-related activities, including play reading, workshops, kids' workshops, and similar events. It is important for new participants to visit the Association's website (www.offkendrik.com) to familiarize themselves with its theater productions and other activities before committing to any organizational efforts. Before a production is launched, open audition calls may be issued by the Artistic Director, depending on production needs. Volunteer When an individual is interested in working for the Association, they shall sign up to be a volunteer. Areas of interest range from theatrical production and administrative or technical services, accounting, social media, outreach, fundraising, to event management. Individuals interested in volunteering shall fill out a form promising adherence to the bylaws and to the mission of the Association. They shall also indicate an area of interest for volunteering. All volunteer positions shall be evaluated and possibly renewed every year. If under extenuating circumstances, the work of a volunteer conflicts with the mission of the organization, the Artistic Director in consultation with the board can ask the volunteer to step down from his/her responsibility. *Conflicts of Interest: A volunteer shall not hold a similar designated position in the Association while concurrently serving, in the same capacity, another 501c3 organization with a similar mission within the South Asian diaspora community. This includes yearly positions like the accountant or functions like grant writer, fundraising, outreach to name a few. Event specific positions should not have concurrent overlap with other similar organizations/events. The board will be consulted to determine conflict of interest if deemed necessary. Section 4. External Advisory Board The External Advisory Board shall be selected by the existing board members in consultation with the Artistic Director, volunteers and leaders of other theater communities. There will be an odd number of advisory board members with a minimum of three members. The Advisory Board shall not have day-to-day executive or any artistic responsibility, but shall exercise oversight and advisory role over the Artistic Director. Board member positions shall be renewed every two years. The Advisory Board shall be responsible for: Ensuring that the mission of the Association is being followed. Researching and advising on tax laws, annual reports, and tax returns. Conducting outreach within and beyond the South Asian diasporic community. Advising on Conflict of Interest. Addressing serious disciplinary breaches within the organization. Under extenuating circumstances, the Board can initiate a dismissal procedure of the Artistic Director and nominate a new Artistic Director.
