| Form 990, Part VI, Section A, line 4 | Bylaws of Friends of Barker, Inc. were amended in 2022, including changes to the following: Article I, Member Section 1. Members. The Corporation shall have one member, The Barker Adoption Foundation. Section 2. Term of Membership. The term of the membership of The Barker Adoption Foundation is perpetual. Article III, Board of Directors Section 1. Number. The number of directors shall be seven. The number of directors may be increased or decreased from time to time by amendment of these bylaws, with approval of the member. Section 2. Classification, Election and Term of Office of Directors. The directors shall be classified with respect to the time for which they severally hold office into three classes, as nearly equal in number as possible. Initially one class of directors shall be elected for a oneyear term, one class shall be elected for a two-year term, and one class shall be elected for a three-year term. At each succeeding annual meeting of the member, successors to the class of directors whose term expires at that meeting shall be elected by plurality vote of all votes cast at such meeting to hold office for a term expiring at the annual meeting of the member held in the third year following the year of their election, subject, however, to their prior death, resignation or removal from office as provided by law. If the number of directors is changed, any increase or decrease shall be apportioned among the classes so as to maintain a number of directors in each class as nearly equal as possible, with some terms initially set for less than three years. No decrease in the number of directors shall change the term of any director in office at the time of such decrease. Section 7. Telephonic and Electronic Meetings Permitted. Members of the Board of Directors, or any committee designated in these bylaws or by the Board, may participate in a meeting of such Board or committee by means of conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear one another, and such participation shall constitute presence in person at such meeting. In addition, members of the Board of Directors, or any committee designated by these bylaws or by the Board, may participate in a meeting of such Board or committee by means of Internet meeting services (e.g. Zoom) designated by the President that support voting and visible displays identifying those participating and those seeking recognition to speak, showing (or permitting the retrieval of) the text of pending motions, and showing the results of votes. These electronic meetings shall be subject to all rules adopted by the Board to govern them which may include any reasonable limitations on, and requirements for, Board members' participation. |

The interested party may, upon request, be available to answer questions or provide material factual information about the proposed action or transaction. 2) The disinterested members of the Board of Directors may approve the proposed action or transaction upon finding that it is in the best interests of the corporation. The Board shall consider whether the terms of the proposed transaction are fair and reasonable to the organization and whether it would be possible, with reasonable effort, to find a more advantageous arrangement with an entity that is not an interested party. 3) Approval by the disinterested members of the Board of Directors shall be by vote of a majority of directors in attendance at a meeting at which a quorum is present. An interested party shall not be counted for purposes of determining whether a quorum is present, or for purposes of determining what constitutes a majority vote of directors in attendance. 4) The minutes of the meeting shall reflect that the conflict disclosure was made, the vote taken and, where applicable, the abstention from voting and participation by the interested party. Violations of conflict of interest policy: If the Board of Directors has reason to believe that an interested party has failed to disclose an actual or potential conflict of interest, it shall inform the person of the basis for such a belief and take the appropriate action. |
