Such occupancy by WPF began on March 1, 2017, has continued through November 30, 2022, which is the final day of the fiscal year of each of Arnold and WPF, and will continue until further notice by Arnold. Arnold did not and does not intend to report the value of this grant as a "qualifying distribution" within the meaning of 4942(g) of the Internal Revenue Code.Arnold has discharged its obligations under Code section 4945 with respect to this grant by (i) conducting a pre-grant inquiry into WPF sufficient to assure Arnold that WPF would use the Premises for the proper purposes, (ii) entering into a grant agreement with WPF meeting the requirements of Treasury Regulations section 53.4945-5(b)(3), and (iii) requiring annual reports from WPF meeting the requirements of Treasury Regulations section 53.4945-5(c) for each of WPF's taxable years during which WPF uses the Premises, and a final report when WPF vacates the premises.
