We had no reported wrongdoing from the board or employee levels at this time.
Part VI, Line 15	The procedure for determining the compensation of a person who served in the year in which this process was last carried out. CEO Governance and Compensation Committee meets to discuss the CEO's progress any severance pay when an exit is discussed annual metrics and setting compensation for the following year. The committee then makes its recommendation to the full Board of Directors for approval. Compensation increases are based on a comprehensive comparison of similarly qualified individuals in functionally comparable positions in 2022. The CEO reviews the compensation of all managing directors on an annual basis and compares it to annual performance metrics. The CEO recommends any compensation adjustments to the Chair of the Compensation Committee for review and final approval.
