    THE FOUNDATION'S 2021 FORM 990-PF WAS UNITENTIONALLY FILED LATE AS A RESULT OF THE FOLLOWING FACTS AND CIRCUMSTANCES: THE CPA FIRM RESPONSIBLE FOR PREPARING THE FOUNDATION'S TAX RETURN EXPERIENCED UNEXPECTED STAFFING DIFFICULTIES AND TURNOVER DURING 2022. AS A RESULT, THE PREPARATION OF THE FOUNDATION'S TAX RETURN WAS INADVERTENTLY OVERLOOKED. SUBSEQUENT TO THE FILING DEADLINE, THE FOUNDATION AND THE CPA FIRM BECAME AWARE OF THE OVERSIGHT AND IMMEDIATELY PREPARED AND FILED THE FOUNDATION'S TAX RETURN. THE FOUNDATION'S 2021 TAX LIABLITY WAS PAID IN A TIMELY MANNER AND PRIOR TO THE FILING DEADLINE.
