    Zhang & Eisenheim was founded as a Wisconsin nonstock domestic corporation under Wis. Stat. 181 on July 26 2022. An October 1 to September 30 tax year was selected at the September 2022 meeting of the Board of Directors. The firm applied for 501c3 status on October 15 2022. Zhang & Eisenheim Inc. was granted 501c3 status as a private operating foundation on March 27 2023 retroactive to July 26 2022. The firm was unable to file the required 990PF for the initial tax year July 26 2022 - September 30 2022 on time for the following reasons: 1 the firm leadership mistakenly believed that the requirement to timely file the 990PF did not begin until the firm was officially recognized by the IRS as a 501c3 organization; 2 even after the firm received notice of approval of its non-profit application it took firm employees a fair amount of time to get the firm's accounting system completely established and implemented to internally audit its own accounting figures to report summary reports of those figures to the firm's Board of Directors for review and approval to review the 990PF form and its instructions to gather the required data to complete the form completely and accurately and to complete the 990PF form and supporting schedules; and 3 when the firm submitted its initial tax year 990PF form electronically to the IRS on September 22 2023 it should be noted that the firm submitted the incorrect tax form at this time - the 2022 990PF instead of the 2021 990PF which would have been the correct form for the reported tax year the 990PF was rejected on September 28 2023 because the firm had not been authorized to file 990-series returns as a non-profit organization this was due to an IRS-side error in processing the firm's non-profit approval in March of 2023. The firm believes that these circumstances - when taken individually and as a collective whole - constitute reasonable cause for the firm's failure to file its 2021 990PF in a timely fashion. The firm respectfully requests that any penalties that would otherwise be due for this late filing be waived.
