    THISTLEWOOD FOUNDATION (TF) REQUESTED REINSTATEMENT OF THEIR EXEMPTION APPLICATION. AS PART OF THE REINSTATEMENT PROCESS, THE TAXPAYER WAS REQUIRED TO INCLUDE ALL INCOME TAX RETURNS WITH THE RE-INSTATEMENT APPLICATION. THE 2017-2021 WERE ALL MAILED TOGETHER TO THE IRS AS REQUIRED FOR THE RE-INSTATEMENT APPLICATION. SINCE THE EXEMPTION APPLICATION WAS REVOKED, THE TAXPAYER WAS UNABLE TO E- FILE ANY OF THE EXEMPT ORGANIZATION'S INCOME TAX RETURNS. THEREFORE, THE 2020 AND 2021 TAX YEAR INCOME TAX RETURNS WERE NOT ELIGIBLE FOR E-FILE IN FEBRUARY, 2022 AND HAD TO BE PAPER FILED, OTHERWISE, THE APPLICATION FOR RE-INSTATEMENT WOULD HAVE BEEN DENIED AS THE TAXPAYER WOULD NOT HAVE BEEN CURRENT ON ALL INCOME TAX FILINGS. THE PAPER FILED RETURNS WERE RETURNED TO THISTLEWOOD FOUNDATION BY MAIL, BY THE IRS, IN AUGUST 2022 WITH A LETTER SAYING THAT THE RETURNS WERE REQUIRED TO BE E-FILED. ELECTRONIC FILES WERE SUBMITTED ON AUGUST 31, 2022 AND THESE RETURNS WERE E-FILED REJECTED ON AUGUST 31, 2022. NUMEROUS PHONE CALL ATTEMPTS WERE MADE TO THE IRS TAX EXEMPT SECTION. WE WERE UNABLE TO REACH SOMEONE AT THE TAX-EXEMPT PHONE NUMBER, BECAUSE OF THE HIGH CALL VOLUME, UNTIL FRIDAY, SEPTEMBER 15TH. THE AGENT TOLD US TO MAIL THE RETURNS, AGAIN, TO IRS, USING THE SAME MAILING ADDRESS AND HIGHLIGHT "RETROACTIVE REINSTATEMENT". ON DECEMBER 20, 2022, THE TREASURER OF TF RECEIVED A LETTER INFORMING THEM THAT THE 2020 & 2021 MAILED RETURNS WERE REQUIRED TO BE ELECTRONICALLY FILED E-FILE. ON DECEMBER 21, 2022, THE PAID PREPARER RE-SUBMITTED THE E- FILED RETURNS AND THE E-FILED RETURNS WERE REJECTED AGAIN. ON DECEMBER 22, 2022, THE PAID PREPARER WAS ABLE TO REACH AN AGENT ON THE IRS TAX EXEMPT PHONE LINE. THE AGENT SAID THAT THE SYSTEM REFLECTED THE EXEMPT STATUS AS BEING REVOKED. THE AGENT WAS TO UPDATE THE STATUS AND THE PROCESS GENERALLY TAKES 4 WEEKS. HOWEVER, WITH YEAR END APPLICATIONS BEING UPDATED IT WOULD PROBABLY TAKE AT LEAST 6 WEEKS TO UPDATE THE STATUS. PRIOR TO FILING THE RETURNS, THE PAID PREPARER SPOKE TO AN IRS EMPLOYEE AT THE TAX EXEMPT PHONE NUMBER. THE POSSIBLITY OF BECOMING A PRIVATE FOUNDATION WAS DISCUSSED. THE AGENT INFORMED US THAT ALL OF THE LATE RETURNS WERE TO BE FILED AS A PUBLIC CHARITY AND THE YEAR SUBSEQUENT TO THE REINSTATEMENT WOULD BE A PRIVATE FOUNDATION. PLEASE HAVE YOUR RECORDS INDICATE TIMELY FILINGS FOR THE TAX YEAR 2020 & 2021, AS IT WAS REQUIRED THAT ALL RETURNS BE FILED TO HAVE THE EXEMPTION STATUS RE-INSTATED AND E-FILING THE 2020 & 2021 WAS NOT AVAILABLE AT THE TIME OF THE INITIAL FILING BECAUSE THE EXEMPTION APPLICATION WAS REVOKED. ALL RETURNS WERE FILED TOGETHER WITH THE RETROACTIVE REINSTATEMENT AS PER THE REQUIREMENTS. MAILED RETURNS WERE SUBMITTED TWICE AND REJECTED, E- FILED RETURNS WERE SUBMITTED UNTIL THEY WERE FINALLY ACCEPTED. IT WAS NOT UNTIL 2023, WITH ANOTHER PHONE CALL TO THE IRS THAT WE BECAME AWARE THAT THE ORGANIZATION WAS A PRIVATE FOUNDATION IN AN EARLIER YEAR. TF DID NOT MAKE DISTRIBUTIONS IN EARLIER YEARS AS THEY WERE WAITING TO HAVE THEIR PUBLIC CHARITY STATUS REINSTATED. A DISTRIBUTION WAS PAID IN 2022, WHEN THEIR EXEMPTION WAS REINSTATED. THE ORGANIZATION IS STRIVING TO BE IN COMPLIANCE WITH ALL DISTRIBUTIONS. THEIR INTENT IS TO BE CURRENT ON ALL REQUIRED DISTRIBUTIONS BEFORE THE END OF 2023 ONCE THE DISTRIBUTION AMOUNTS ARE CALCULATED ON EACH PF RETURN. WE RESPECTFULLY REQUEST THAT THE PENALTIES AND INTEREST FOR FAILURE TO FILE BE WAIVED, AS THIS WOULD ONLY SERVE TO PUNISH AND REDUCE THE FUNDS THAT ARE AVAILABLE FOR THE GRANTS. THIS HAS BEEN AN UNUSUAL SITUATION, AND OUR RESEARCH DID NOT PROVIDE ANY GUIDANCE.
