| General Explanation Supplemental Information for Form 990-PF | Retroactive Reinstatement of Tax-Exempt Status.Tour de Slate Inc 84-4010763*** REASONABLE CAUSE ***The purpose of this document is to request that Tour de Slate be excused from the payment of penalty for late filing of the 990-PF forms.Tour de Slate Inc was formed by a small group of volunteers who wanted to make a difference in the lives of people who struggle with drug and alcohol abuse and the lives of those around them who are also impacted. We decided that hosting a family-friendly bicycle ride could raise funds to support an organization like Adult and Teen Challenge VT.In December 2019 we sought the advice of a local attorney to help us form a corporation. Tour de Slate Inc received the Certification of Incorporation effective Dec. 12, 2019. Tour de Slate Inc hired a local CPA to review our application for tax exempt status under 501 (c) 3. The application was reviewed and submitted in January 2020. It was our understanding that we were be assigned the category of Public Charity, since our funds would be received from the general public.The Board of Directors of Tour de Slate Inc had its first organizational meeting on Jan. 15, 2020. A bank account was set up for Tour de Slate Inc on 01/24/2020 with an initial deposit of $100 to cover other initial set up expenses, such as a website. We had not yet received the determination letter. Tour de Slate Inc received the letter of determination of tax-exempt status on Feb. 13, 2020, as a PF effective 12/12/2019. After receiving this determination letter, we did not understand that we would be required to file an Annual report or a 990 form for 2019, since there had been no financial transactions during that year.To this point, the Tour de Slate Board had not received information regarding the difference between being identified as a Private Foundation or a Public Charity. While it was certainly the responsibility of the Board of Directors to investigate the implication of the PF status and to insure the correct yearly filings, our inexperience caused us to not strive harder to understand. It was never our intent to not file the required forms. It was merely a mistake, caused by inexperience, complicated by the restrictions of the COVID-19 Pandemic. Our focus was on being able to hold the Tour de Slate bike ride. On Aug. 12,2022 Tour de Slate was notified of the failure to file. We immediately sought the advice of A CPA firm and subsequently filed a 1 023-EZ application for reinstatement on Aug. 16, 2022. We were requesting to be reinstated back to the date of revocation on May 16, 2022 and to be corrected to a Public Charity. The Tour de Slate Board has been working with IRS since that date. We have answered all requests as quickly as possible. On Dec.22, 2022 and were informed that we could not accomplish the necessary corrections in one process. We would have to withdraw the 1023EZ, and fill out a 1023 long form, to become reinstated on the May16, 2022 date of revocation. We were also inforn1ed on this phone conversation that we would be required to fill out and file the 990-PF forms for 2019, as well as 2020, and 2021. IRS Specialist Brown had told us during a previous phone conversation that he had verified it with his supervisor that we would not be required to file any of the forms that we had missed.We submitted the IRS 1023 long form on Dec. 29, 2022. At that time we informed IRS that we had mailed hard copies of the990-PF forms to Ogden, Utah, as we had understood those were the directions of the on-line instructions for the reinstatement procedure.Please consider that Tour de Slate Inc did seek professional advice and IRS assistance, but was given incorrect or incomplete information. We did not intentionally ignore the filing of the required forms. We have tried since August 16,2022 to reply to all requests as quickly as possible.
