Briefly describe the organization’s mission: Using the power of history to transform lives by preserving, sharing, and connecting. The Society preserves the evidence of the past and tells the stories of Minnesota's people. The Society provides opportunities for people of all ages to learn about the history of Minnesota, collects and cares for materials that document human life in Minnesota, makes them known and accessible to people in Minnesota and beyond, and encourages and executes research in Minnesota History.

Historic Sites and Museums: MNHS operates 26 historic sites and museums throughout the state that allow people to access history through public programs and tours. After two years of pandemic restrictions, MNHS was able to welcome visitors back to our sites in the summer of 2021 and forward into 2022. While still limited, our sites and museums were open to the public four days a week. After more than two years of revitalization and rehabilitation, Historic Fort Snelling reopened to the public in 2022. The revitalization included a new visitor center inside a rehabilitated 1904 cavalry barracks, stunning river overlooks, Indigenous landscapes with native plantings as well as expanded interpretive spaces, scenic walking paths, and enhanced accessibility. The site is now open to the public year-round.

Education, Outreach, and Content Development: MNHS develops Minnesota history curriculum, provides teacher education, and coordinates the Minnesota History Day program. After two years of restrictions due to COVID-19, school groups returned to the Minnesota History Center for on-site programming in 2022. History Day continues to be a signature program for MNHS. In FY 22, 17,000 of Minnesota's students, from 134 schools, participated in the program, in school, regional, state and national levels. In addition to in-person learning, MNHS continues to expand our virtual educational programming. That has enabled us to serve a much broader audience, including fifth and sixth grade students through the Northern Lights digital curriculum. Diversity and inclusion are a focus of our educational programming and outreach by engaging with traditionally underrepresented communities. It is our goal to ensure the diversity of Minnesota is reflected in all that we do. Our Native American Initiatives department continues to work on building relationships and being an advocate for Native peoples across Minnesota and beyond. Our Native American Undergraduate Museum Fellowship exposes Native American students to careers in the museum field and our Native American Artist in Residence program expands Native American artists' understanding of traditional art. Additionally, The MNHS Press launched a major collaboration with the Mille Lacs Band of Ojibwe to publish Ojibwe stories. Our exhibits department, which plans, fabricates and installs exhibits at Society interpretive facilities and museums throughout the state, hosted Our Home, the Minnesota History Center's first permanent exhibit devoted to Native American content, and prepared for the opening of Sherlock Holmes exhibit in FY 2023.

Library and Collections: Our library and collections departments maintain and make available to the public the MNHS' collection of books, newspapers, maps, objects, photographs, works of art, oral history recordings, private manuscripts, and periodicals on Minnesota history. MNHS catalogs, restores, and digitizes documents and records to make them available for public use. This program includes the acquisition, preservation, and cataloging of public records, as well as the Historical Society's responsibilities as State Archivist. Our collections continued to grow in FY22 with the addition of more oral histories and over 1,900 new artifacts. The Gale Family Library reopened to visitors in 2021-2022 on a limited basis. In addition, the Art Speaks exhibit showcased MNHS's Minnesota art collection, which is the most comprehensive in the world. More than 160 new paintings, sculptures, and photos that have been acquired over the last five years were featured in the exhibit. The Archaeology program continues to perform services for the State of MN Department of Natural Resources as well as other historic and archeological surveys as required.

Heritage Preservation: Our Heritage Preservation department provides technical assistance and grants for historic preservation, administers grant programs supporting projects in preservation and interpretation of Minnesota history, and administers the National Historic Preservation Act in Minnesota. In FY22, statewide preservation saw almost $8.0M awarded in Arts and Cultural Heritage Fund monies awarded through 201 Legacy grants across Minnesota. These grants serve many purposes across the entire State of Minnesota, including historic preservation, education and programming, digital preservation, archaeology, exhibits, inclusion and community engagement, publications as well as several partnership agreements.

Schedule C, Part II-B, Line 1 The MNHS receives a majority of its funding from the State of Minnesota. As a result, there are activities that are performed that may be construed as lobbying activities. The MNHS maintains a presence on the world wide web. Included in our website is a webpage dedicated to legislative updates, the status or our appropriations, and at times a call to members and the public to contact their local legislators in support of MNHS' appropriations a/o pending legislation. Our website includes a program that allows the public to search and directly contact their representatives and other state leaders. In FY 22 the MNHS spent $5,250, as reported in Part II-B, Line 1(i) on programs to contact legislators. In addition the MNHS employs a Director of Public Policy and Government Relations whose primary function is to act in an administrative capacity in providing budgetary information to the State of Minnesota and to act as a legisltative liaison as needed. At times this position may have direct contact with members of the legislative body or the public in a manner such that the activity could be construed as lobbying. MNHS has employed a lobbying firm to represent MNHS at the Minnesota State Legislature to help advance specific legislation. Lobbying activities represent an insignificant amount of MNHS' annual operating expenditures. Of the total listed in Part II B, line 1(g), $50,000 represents fees paid to the outside lobbying firm to act on our behalf for specific legislation.

Schedule D, Part III, Line 1 The Society's collection of artifacts, documents, newspapers, pictures, paintings, tapes and books is not capitalized because donated values are not readily determinable. Items purchased for the collection are expensed as acquired. Similarly, historic sites and publication copyrights owned by the Society are not included in the financial statements.
Schedule D, Part III, Line 4 The Society's collection of artifacts, historic sites, documents, newspapers, pictures, paintings, tapes and books preserve the evidence of Minnesota's past. The collections support the work of MNHS' public programs and provide value to people interested in their history.
Schedule D, Part V, Line 4 The endowment funds of the MNHS support the institution's mission by providing support for the public programs, care and operations of our historic sites, research, collections and general operating support. The Society's endowment consists of approximately 175 individual funds established for a variety of purposes including both donor-restricted endowment funds and funds designated by the Board of Trustees to function as endowments. Return Reference Explanation
Schedule I, Part I, Line 2 Grant recipients are required to sign a Grant Agreement outlining the terms of the grant. The Agreement specifies the project start and end dates, approved budget and scope of work, reporting guidelines and other grantee requirements. The grant awards are monitored by and submitted to, upon completion, the Grants Office. The Grants Office wil review the final project and financial reports to ensure that all federal, state and local requirements are met, as well as all of the conditions of the initial and or amended Grant Agreement. In addition, the Finance Department may perform a review of expenditures to verify allowability. The Grants Office must review and sign off on the project before any funds are disbursed. Unexpended grant funds are returned to the Grants Office.

Form 990, Part VI, Section A, Line 6 MNHS has one class of membership, which is the body of dues paying members. Members have the right to vote on and approve a slate of candidates for Director(s), as put forth by the Governance Committee at the MNHS' annual meeting. The membership does not approve of significant decisions made by the governing body.
Form 990, Part VI, Section A, Line 7a Dues paying members (the membership) have the opportunity to vote on and approve the slate of candidates for Director(s) as put forth by the MNHS' Governance Committee at the MNHS' annual meeting.
Form 990, Part VI, Section B, Line 11b The annual tax return, IRS Form 990, is prepared internally by MNHS' Finance Department. The 990 goes through an extended internal review process within the Finance Department and depending on any concerns or emerging issues, the 990 may also go through an in-depth review by an independant tax consultant. Once these reviews are completed the 990 is presented to MNHS' joint Finance and Audit Committee for their review and approval. Once approved by this committee the 990 is submitted to MNHS' Executive Council/Committee for final review, discussion and approval. Upon final approval by the Executive Council/Committee, the 990 is electronically filed with the IRS.
Form 990, Part VI, Section B, Line 12c All Board Members and Officers are subject to a conflict of interest policy which sets out that transactions, in which they may have a material interest are to be undertaken (if at all) only after disclosure of the conflict, notice in full to the Board of the contemplated transaction along with the nature of the conflict, and requiring action in favor of the transaction to be effected by the majority of the entirety of the Board not including the member(s) whose interest is involved. The office of the Director & CEO is responsible for maintaining and monitoring that a new Board member(s) submit a statement of acknowledgement that they will comply in full with MNHS' code of conduct, which includes the institution's conflict of interest policy. The office of Director & CEO performs this review annually.
Form 990, Part VI, Section B, Line 15 The annual compensation for the Director and Chief Executive Officer, S Kent Whitworth, which covers the period ending 6/30/22, was reviewed by the Compensation Committee, which is part of MNHS' governing body. The compensation review includes a review of the terms of the written employment contract, comparisons based on surveys of local comparable not-for-profit organizations, the overall pay plan for the organization and a performance evaluation.

Form 990, Part XI, Line 9 The amount listed represents a return of unused prior year's appropriation to the State of Minnesota. During the 2022 MN Legislative session, language was included within the Legacy bill to extend this appropriation another fiscal year. This language was passed and signed into law. After passage of the law an issue was discovered in the wording of the language of our extension that made it invalid. While it is our intent to pursue further disucssions with the State of MN to reappropriate the funding, at the end of FY 22 we had to recognize and return the unused appropriation funds. This was shown as a below the line item as Non-Operating return of appropriation funds.
