PRIOR TO FILING, COPIES OF THE COMPLETE FORM ARE PROVIDED TO OFFICERS AND DIRECTORS. THE CFO REVIEWS THE PRIMARY COMPONENTS OF THE FORM WITH CPB'S OFFICERS AND, WITH THE INDEPENDENT AUDITORS, WALKS THE AUDIT & FINANCE COMMITTEE OF THE BOARD OF DIRECTORS THROUGH THE FORM.

MANAGEMENT IS NOT REPRESENTED ON THE BOARD, MEMBERS OF WHICH ARE APPOINTED BY THE PRESIDENT OF THE UNITED STATES AND CONFIRMED BY THE U.S. SENATE. AN ANNUAL COMPENSATION ANALYSIS IS PREPARED BY AN INDEPENDENT COMPENSATION CONSULTANT FOR ALL VICE PRESIDENT AND ABOVE POSITIONS. THE ANALYSIS COMPARES COMPENSATION FROM MULTIPLE INDEPENDENT COMPENSATION SURVEYS. ANNUAL PERFORMANCE IS EVALUATED AGAINST OBJECTIVES SET AT THE BEGINNING OF THE YEAR FOR ALL NON-OFFICER POSITIONS. PERFORMANCE IS DOCUMENTED IN A WRITTEN REPORT AND THE CEO MAKES COMPENSATION RECOMMENDATIONS TO THE CORPORATE GOVERNANCE & EXECUTIVE COMPENSATION COMMITTEE. THESE RECOMMENDATIONS ARE REVIEWED BY THE COMMITTEE WITH THE ASSISTANCE OF THE INDEPENDENT COMPENSATION CONSULTANT. THE EVALUATION OF THE CEO IS LED BY THE CORPORATE GOVERNANCE & EXECUTIVE COMPENSATION COMMITTEE AND THE CHAIR THEREOF. A DETAILED REPORT OF THE OFFICERS' ACCOMPLISHMENTS IS PROVIDED TO EACH MEMBER OF THE BOARD, AND FOR THE CEO, A PERFORMANCE QUESTIONNAIRE. INPUT FROM THE QUESTIONNAIRES IS CONSOLIDATED BY THE CONSULTANT AND REPORTED BACK TO THE FULL BOARD. THE OFFICERS' EVALUATIONS ARE CONDUCTED BY THE BOARD IN EXECUTIVE SESSION. ALL PROCEEDINGS ARE DOCUMENTED IN THE FORM OF WRITTEN MINUTES AND COMPENSATION IS INCLUDED AS A FORMAL RESOLUTION OF THE BOARD FOR EACH OF THESE POSITIONS. THIS PROCESS IS FOLLOWED ANNUALLY. THE LAST SUCH MEETING WAS IN DECEMBER 2022, WITH REVISED COMPENSATION EFFECTIVE IN JANUARY 2023. COMPENSATION OF CPB'S INSPECTOR GENERAL IS TIED TO THE INSPECTOR GENERAL REFORM ACT OF 2008 AND A MEMORANDUM OF UNDERSTANDING WITH CPB'S BOARD OF DIRECTORS.
