THE MUSEUM OPENED TO THE PUBLIC IN JANUARY, 1926 AND CURRENTLY ATTRACTS OVER 1,000,000 VISITORS A YEAR. THE MUSEUM IS A PUBLIC MUSEUM OFFERING A BROAD SPECTRUM OF EDUCATIONAL OPPORTUNITIES AND INTERACTIVE FAMILY LEARNING EXPERIENCES TO A DIVERSE AUDIENCE THAT INCLUDES CHILDREN OF ALL AGES, ADULTS, FAMILIES, INDIVIDUALS WITH DISABILITIES, CITIZENS 65 YEARS AND OLDER, TOURISTS, NEIGHBORS, STUDENTS, AND THEIR TEACHERS. THROUGHOUT ITS ENTIRE HISTORY, THE MUSEUM HAS CONTINUED TO DEVELOP INNOVATIVE METHODS TO PROVIDE TRULY EXTRAORDINARY FAMILY LEARNING EXPERIENCES. Before any transaction involving a potential conflict of interest may occur, the Board of Trustees is required to determine whether an actual conflict of interest exists and, if so, whether a more advantageous transaction or arrangement is reasonably attainable under circumstances not producing a conflict of interest, and whether the proposed transaction is in the Museum's best interest, is for the Museum's own benefit, and is fair and reasonable. The interested person may not participate in the Board's discussion or decision regarding the potential conflict. Conflicts of interest discovered once a transaction is in process will be addressed by the Board as soon as possible, and the interested person may be subject to discipline, including termination, for failure to disclose the conflict in a timely manner. |

IN MAY OF 2021, THE MUSEUM TRANSITIONED TO A NEW CEO. AT THE END OF 2022, THE BOARD CONDUCTED THE ANNUAL PERFORMANCE ASSESSMENT FOR THE CEO. The PROCESS INVOLVED THE FOLLOWING: THE BOARD CHAIR AND VICE CHAIR DITRIBUTED A CONFIDENTIAL SURVEY TO ALL MEMBERS OF THE BOARD OF TRUSTEES, MEMBERS OF THE STAFF EXECUTIVE TEAM, ASSOCIATE VICE PRESIDENTS, AND DIRECTORS. THE SURVEY RESULTS WERE COMPILED BY THE CHAIR OF THE BOARD, IN CONFIDENCE. THE CHAIR SHARED A SYNOPSIS OF THE FEEDBACK WITH THE MEMBERS OF THE EXECUTIVE AND GOVERNANCE COMMITTEES OF THE BOARD OF TRUSTEES. THE BOARD LEADERSHIP THEN DETERMINED BOTH THE BASE AND BONUS PAY ADJUSTMENTS FOR THE CEO POSITION. DURING MARCH OF 2022, THE BOARD LEADERSHIP GAVE THE CEO A BASE PAY INCREASE THAT WAS THE SAME PERCENTAGE AS ALL MUSEUM STAFF MEMBERS. THE DECISIONS WERE REPORTED TO THE FULL BOARD OF TRUSTEES, IN A PRIVATE EXECUTIVE SESSION. THIS OCCURRED DURING THE MAY 2022 BOARD MEETING. THE BOARD LEADERSHIP, WITH THE APPROVAL OF THE EXECUTIVE COMMITTEE, EXECUTED A 5-YEAR EMPLOYMENT AGREEMENT ON JANUARY 19, 2022. THE INITIAL TERM OF THE AGREEMENT WAS RETROACTOVE TO MAY 8, 2021 AND EXPIRES ON DECEMBER 31, 2024. |
