Form 990, Part I, Line 1, Brief Summary of Organization Mission:	The National Association of Theatre Owners is the largest exhibition trade organization in the world, representing over 34,000 movie screens in all 50 states, and additional cinemas in over 100 countries worldwide. Headquartered in Washington, D.C., with a second office in Los Angeles, California, NATO represents its members in the heart of the nation's capital as well as the center of the entertainment industry. From these vantage points, NATO helps exhibition influence federal policy-making and work with movie distributors on all areas of mutual concern, from new technologies to legislation, marketing, and First Amendment issues.
Form 990, Part VI, Section A, line 6	The Association has dues paying members. A Regular Member is any sole proprietorship, partnership, corporation, or other business entity which is directly engaged in the operation of one or more motion picture exhibition facilities. A Regular Member can be a private and public sector (non-military) non-profit business entity in the United States of America and its Territories. A Regional Association Member is a United States single-state (including the District of Columbia) or multi-state trade association established for the purpose of furthering the interests of those engaged in the operation of motion picture exhibition facilities. Regional Association Members must meet minimum criteria established by the Membership Committee and approved by the Executive Board, which will periodically certify them. Honorary Members are persons who have provided outstanding service to NATO and who are no longer engaged in movie theatre operations are eligible to be elected as Honorary Members of NATO. The Membership Committee will submit names of prospective Honorary Members to the Executive Board for election.
Form 990, Part VI, Section A, line 7a	NATO's governing body, the Executive Board, is comprised of a combination of automatic and elected seats. Eight automatic seats are filled by a representative of each of the top eight circuits, by screen count on a record date, in the United States and Canada. Each company entitled to an automatic seat must designate in writing the name of the individual to serve as the company's representative to the Executive Board. One additional automatic seat will be filled by a representative of each circuit with more than 3,000 screens as determined by screen count on a record date, in the United States and Canada. This seat will be a full, voting member of the Executive Board. At least one of the company's two automatic seats must be held by a diverse senior executive of the company. Each company entitled to an automatic second seat must designate in writing the name of the individual to serve as the company's representative to the Executive Board. Nine seats are filled by election. Four seats are elected from the members of the Advisory Board who own or are employed at regional circuits, defined as NATO member companies with 75 or more screens, but not eligible for an automatic seat, and four seats are elected from the members of the Advisory Board who own or are employed at independent theatres, defined as NATO member companies with fewer than 75 screens. Each NATO member company in the regional circuit or independent theatre category that has at least one representative on the NATO Advisory Board is eligible to cast one vote in the election of their category's representatives to the Executive Board. To qualify to be a voting member on the NATO Advisory Board, a person must own or be employed by a NATO member in good standing and must have participated in at least two meetings of the Advisory Board. The NATO Membership Committee reviews the applications of qualified Advisory Board candidates. NATO's Vice President, in consultation with the NATO Membership Committee, provides the official roll of the Advisory Board. During each annual meeting of the general membership, the membership votes to approve or disapprove the official roll of Advisory Board members. The ninth elected seat on the Executive Board is held by a representative of NATO's Certified Regional Association Members. Only voting delegates from each of NATO's Certified Regional Associations are eligible to run and vote in this election.
Form 990, Part VI, Section B, line 11b	The Executive Board, the governing body of NATO, has delegated the responsibility of reviewing the draft form 990 to the NATO Audit Committee. All members of the Audit Committee receive and review the complete copy of the draft form 990 before it is finalized and filed with the IRS.
Form 990, Part VI, Section B, line 12c	The statements of acknowledgment and disclosure are collected annually from all NATO officers, directors and key employees. The CFO reviews them, ensures that forms are signed and submitted by all officers, directors and key employees, and then shares all disclosures with NATO's General Counsel who examines them and determines if any disclosure constitutes a conflict that requires action (such as having the individual recuse herself/himself from certain matters).
