Briefly describe the organization’s mission: The Marine Biological Laboratory (MBL) is a world-renowned center for biological discovery and training that is notably affiliated with more than 60 Nobel Prize winners. Research is conducted by full-time faculty as well as hundreds of the world's leading scientists who are attracted by the MBL's unique resources and strengths, and who come to the MBL to conduct research for weeks or months at a time. Their work spans biological scales from molecules and cells to ecosystems. The MBL trains students from high school to postdoctoral levels. Central to the MBL's identity are its advanced graduate level research courses.

The Marine Biological Laboratory (MBL) maintains laboratories for the scientific study and investigation of a wide range of biological topics, from biomedical to ecological research. MBL Resident Scientists are based full-time in Woods Hole and conduct funded research in areas of science that are relevant to the MBL's mission of fundamental biological discovery. Areas of focus include new discoveries emerging from the study of new research organisms, encompassing studies in cell biology, regenerative biology, neuroscience, sensory physiology, and comparative evolution and genomics; the study of microbiomes and microbial diversity and ecology in a variety of ocean, organismal, and terrestrial habitats; innovation in imaging and computation, illuminating cellular function and previously unknown biology; and adaptation and resilience of environmental systems and organisms in the face of global change.

The Marine Biological Laboratory (MBL) offers a wide range of scientific courses (from high school to post-doctoral level), workshops, conferences, and internships throughout the year. Central to the MBL's identity are its advanced, discovery-based courses for graduate students, postdoctoral fellows, and faculty. In these courses students learn from internationally renowned scientists and are immersed in the laboratory, learning cutting-edge techniques while investigating contemporary research problems. Each year, MBL advanced courses attract more than 500 graduate students and postdoctoral researchers from more than 300 institutions and over 30 countries. Course directors and faculty are leaders in their fields, drawn from leading universities and research institutions around the world.

Visiting (Whitman) Research: The Marine Biological Laboratory (MBL) hosts hundreds of researchers, postdocs, and graduate students from around the world to participate in scientific discovery courses, research, lectures, and field studies. As a convener of biology, the MBL is well known for fostering a highly collaborative environment, with scientists and students engaged in intensive research in a collegial and informal atmosphere. Whitman Center Scientists are provided with infrastructure and an informal, interactive scientific community that allows them to launch into research almost immediately upon their arrival. Advice and equipment are available from other researchers or from colleagues in the education program. Free from academic duties at their home institutions, some veteran Whitman Center Scientists report they do more hands-on research in three months at the MBL than they do during the rest of the year at their home institutions.

Schedule D, Part X, Line 2 The Laboratory is a tax-exempt organization as described in Section 501(c)(3) of the Internal Revenue Code, as amended (the Code), and is generally exempt from income taxes pursuant to Section 501(a) of the Code. The Laboratory is required to assess uncertain tax positions and has determined that there were no such positions that are material to the financial statements. Schedule F, Part I, Line 2 For subawards to institutions outside the United States, a budget, including the budget for the subaward, is prepared by the Office of Sponsored Programs (OSP) and forwarded to the prime funding agency for approval. When approval is received, an agreement between the MBL and the subawardee is prepared. The agreement is required to include a budget, justification and description of work to be completed. Additional information such as an annual audit report may be requested as applicable. This agreement must be approved and signed by a signatory official of the subawardee. Additional reporting is required of all foreign subawards including itemized invoices with detailed justification of charges to verify their appropriateness and reasonableness and prepared on a basis comparable to Generally Accepted Accounting Principles (GAAP) of the United States of America. Invoices are reviewed by OSP and then forwarded to the MBL Principle Investigator (PI) for review, approval, and certification that they have been monitoring the progress of the project each time an invoice is approved. Approved invoices are forwarded to MBL Financial Services for processing. Schedule I, Part I, Line 2 The Grants Accountant, Controller, and Director of Finance oversee all grant, contract, or cooperative agreement awards compliance. This includes establishing a new job center for each award, reconciling allowable expenses to the sponsor's requirements, accounting of all costs on active awards, ensuring grant contract or cooperative agreement expenses do not exceed the award revenues, completing all billing to government and private agencies, and completing a financial close-out of all finished awards assuring proper reporting to federal and non-federal agencies.
Schedule I, Part III Research award oversight is provided by the Division of Research staff. Research award applications are reviewed by a committee of internal and external scientists, who meet with the Director of the Division of Research to make their recommendations for the final determination of recipients and award amounts. The Senior Administrator in the Division of Research tracks the awardee's research progress and expenditures through their stay at the MBL, reviewing the required reports that are due one month after completion of the research award term, and ensuring awardees remain within budget. Scholarships are awarded by the Division of Research from grants and contributions received by the MBL, some of which are restricted for specific use. The Director of the Division of Education determines student eligibility and the amount of the scholarship. Awards are first applied to cover tuition costs, and then cover room, board, and travel if the amount awarded is sufficient.

Form 990, Part VI, Section A, Line 6 On July 1, 2013 the Laboratory entered into an affiliation agreement with the University of Chicago (the University) located in Chicago, Illinois. Under this affiliation the University became the sole member of the Laboratory. The University of Chicago as sole member has the right to exercise all powers to approve or disapprove of certain fundamental decisions concerning the Corporation.
Form 990, Part VI, Section A, Line 7a The University as sole member has the power to appoint and remove members of the Board of Trustees.
Form 990, Part VI, Section A, Line 7b The University of Chicago as sole member has the power to take certain actions with respect to the MBL after prior consultation with the MBL's Board of Trustees, and the power to approve or disapprove certain actions taken by the MBL.
Form 990, Part VI, Section B, Line 11b Prior to filing the Form 990, members of the Executive Committee and Audit Committee of the Laboratory's Board of Trustees were given an opportunity to review portions of the Form 990 relevant to the areas of oversight of those Committees, allowing them to review the form, provide comments, and ask any questions. Subsequent to the Committees' review, the form is made available to the full Board of Trustees for review prior to filing.
Form 990, Part VI, Section B, Line 12c All trustees, officers, senior faculty, senior administrators, and other employees of the Laboratory are subject to conflict of interest policies that among other things, define material financial disclosure of information and specify procedures to be followed in managing these conflicts. The Laboratory's conflict of interest (COI) policies for trustees and officers requires disclosure whenever a trustee or a related party engages in an activity that could be considered a conflict of interest. Trustees are reminded that questions regarding the COI policy may be raised informally and confidentially at any time with the Chair of the Board of Trustees, the Chair of the Nominating and Governance Committee, or the University of Chicago's General Counsel. All trustees must annually disclose actual and potential conflicts of interest by completing a confidential COI Disclosure Statement and Acknowledgement, and these disclosures must be updated as new information becomes available that could affect the trustee's stated interests. The MBL's Director of Finance, in consultation with the Nominating and Governance Committee and Senior MBL and University of Chicago administration, will compile the disclosures into a confidential database. The Chair of the Board of Trustees will also review all disclosed potential conflicts of interest before making Board committee assignments. Regardless of these efforts, Trustees must be alert to any and all potential conflicts. To the extent a potential conflict has not been addressed, it should be brought to the immediate attention of the Chair of the Board, the Chair of the Nominating and Governance Committee, or the University of Chicago's General Counsel. The Trustee should also abstain from participating in or voting on the matter. Actions in this regard will be reflected in any official meeting minutes. The Laboratory requires that employees (MBL staff members) complete a COI statement annually. The statement is reviewed by the Director of Human Resources and the Director of the Division of Research. If it is believed there may be a conflict of interest on any of the statements, it is brought to the attention of the MBL Compliance Committee for resolution. Any MBL staff member who is or will be involved in an MBL business transaction in which a potential for conflict of interest may exist is required to report such potential conflict to the Chief Operating Officer. The MBL shall take action to ensure that the transaction, if it is to proceed, is on fair and reasonable terms and in the best interest of the Laboratory. Someone other than the individual with the conflict must initiate the resolutions for action and make the necessary decisions and control the transaction(s). The individual with the conflict must recuse themselves from the decision-making process.
