The board of directors, from time to time, may create such classes of sponsoring memberships as it deems in the best interest of the corporation and establish the privilges, rights, and obligations of such sponsoring memberships, provided however, that no such sponsoring memberships shall be entitled to vote in the affairs of the corporation. |
| Member election for additional members Part VI line 7a | Nominating committee: The president of the board shall appoint, subject to the approval of the board of directors, a nominating committee consisting of two board members whose terms are not currently expiring and three active members not serving on the board. The president shall designate the chair of the nominating committee. The nominating committee shall present to the president a slate of candidates equal to the nmber of directors whose terms are expiring to serve three year terms to replace said directors. Each candidate must be an active member in good standing and must have agreed to accept the responsibility of a directorship. Notice of nominations: Upon receipt of the nominating committees report, the president shall immediately notify the membership by mail of the names of persons nominated as candidates for directors and the right of petition.Nominations by petition: Additional names of candidates for directors can be nominated by petition bearing the genuine signatures of at least three members of the Chamber in good standing. Each candidate nominated by petition must be an active member in good standing and must have agreed to accept the responsibilities of a directorship. Determination: If no petition of a candidate who is an active member in good standing and who has agreed to accept the responsibilities of directorship is filed within the designated period, the nominations shall be closed, and the nominated slate of candidates shall be declared elected by the board of directors at its regular board meeting.If a petition presents additional candidates, the names of all candidates shall be arranged on a ballot in alphabetical order. Instructions will be to vote for a number of candidates equal to the number of directors whose terms are expiring only. The ballots shall be marked in accordance with instructions printed on the ballot and returned to the designated location within the timeframe prescribed on the ballot. The directors shall at its regular board meeting declare elected the number of candidates equal to the number of directors whose terms are expiring with the greatest number of votes. |
