The board of directors, from time to time, may create such classes of sponsoring memberships as it deems in the best interest of the corporation and establish the privilges, rights, and obligations of such sponsoring memberships, provided however, that no such sponsoring memberships shall be entitled to vote in the affairs of the corporation.
Member election for additional members Part VI line 7a	Nominating committee: The president of the board shall appoint, subject to the approval of the board of directors, a nominating committee consisting of two board members whose terms are not currently expiring and three active members not serving on the board. The president shall designate the chair of the nominating committee. The nominating committee shall present to the president a slate of candidates equal to the nmber of directors whose terms are expiring to serve three year terms to replace said directors. Each candidate must be an active member in good standing and must have agreed to accept the responsibility of a directorship. Notice of nominations: Upon receipt of the nominating committees report, the president shall immediately notify the membership by mail of the names of persons nominated as candidates for directors and the right of petition.Nominations by petition: Additional names of candidates for directors can be nominated by petition bearing the genuine signatures of at least three members of the Chamber in good standing. Each candidate nominated by petition must be an active member in good standing and must have agreed to accept the responsibilities of a directorship. Determination: If no petition of a candidate who is an active member in good standing and who has agreed to accept the responsibilities of directorship is filed within the designated period, the nominations shall be closed, and the nominated slate of candidates shall be declared elected by the board of directors at its regular board meeting.If a petition presents additional candidates, the names of all candidates shall be arranged on a ballot in alphabetical order. Instructions will be to vote for a number of candidates equal to the number of directors whose terms are expiring only. The ballots shall be marked in accordance with instructions printed on the ballot and returned to the designated location within the timeframe prescribed on the ballot. The directors shall at its regular board meeting declare elected the number of candidates equal to the number of directors whose terms are expiring with the greatest number of votes.

Explanation:

In May of 2022 it became necessary to sever ties with the existing accountant and 990 preparer. In July, the Chamber hired another accounting firm. However the person with expertise to prepare the 990 left the firm. That firm disengaged and agreed to file a request for an extension. In October of 2023, the Chamber hired another firm. In January of 2024, that firm returned the tax information and stated that the didnt have time to do the taxes. At that time, it was determined that the previous firm had prepared, but not submitted the request for an extension. The Chamber has subsequently begun working with another firm that has prepared and submitted this Form 990. The Ely Chamber of Commerce has acted in good faith and has attempted to meet filing deadlines in spite of challenges finding a preparer. The Ely Chamber of Commerce has not filed Form 990s in an untimely manner in the past, and it has taken steps to assure that it will not file them late in the future. Given the circumstances and the Chambers history, we are respectfully requesting abatement of all late filing penalties.
