Monitoring implementation of the Music Modernization Act (MMA), passed in October 2018, which reforms the process of music licensing and creates a formalized body, the Mechanical Licensing Collective (MLC), run by publishers, that (a) administers the "mechanical licensing" of compositions on streaming services, and (b) funds the creation of a first-of-its-kind, comprehensive database. The corporation seeks to ensure that the policies and procedures developed under the MMA create a system by which songwriters have ease of collection of their royalties and ensure that the MLC is not used by licensees as a tool to convince congress to create regulated or compulsory systems with respect to any other song writer's income stream.

Schedule L, Part V Supplemental Information Prior to being appointed as president, Mr. Quinn and certain of his colleagues were retained to provide government and regulatory advocacy services on behalf of the corporation, through the law firm of Manatt, Phelps & Phillips, LLP (Manatt), where Mr. Quinn is employed. Mr. Bromley is a partner of the same law firm. The contract with Manatt was negotiated at arms-length prior to the appointment of Mr. Bromley as a director of the corporation and prior to the appointment of either Mr. Bromley or Mr. Quinn in their offices as Secretary and President, respectively. Under the contract, Manatt is retained for legal and advocacy services primarily provided by employees other than Mr. Quinn or Mr. Bromley, and the corporation had previously paid a monthly fee of $10,000 for such services, which was $30,000 per month prior to the COVID-19 pandemic. There is currently no monthly retainer paid.

Reasonable Cause for Late Filing We are filing the return after the May 15, 2024 deadline due to the fact that the corporation has switched from a prior accounting firm to the current one with limited time to prepare the return by the May 15th deadline. An extension is being filed to allow the new preparers ample time to review the return and conduct their due diligence.
