Explanation

Part X, Line 2:

The Organization follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Management evaluated the Organization's tax positions and concluded that the Organization has taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. For the years ended September 30, 2023 and 2022, no unrecognized tax positions or benefit exists. Tax years from 2020 through the current year remain open for examination by tax authorities.

Provided further that if the conflict of interest is deemed to be serious and it is determined that recusal is not adequate to effectively address the situation then (i) in the case of a person subject to the policy who is not an employee of TCA, the person may be required to resign their office or committee position with TCA, and (ii) in the case of an employee of TCA, the employee may be subject to discipline, up to and including termination of employment.
